ECF Percentage” means 50%; provided, that # the ECF Percentage shall be reduced to 25% if the Consolidated Secured Leverage Ratio as of the last day of the relevant fiscal year is less than or equal to 2.00 to 1.00 but greater than 1.50 to 1.00 and # the ECF Percentage shall be reduced to 0% if the Consolidated Secured Leverage Ratio as of the last day of the relevant fiscal year is less than or equal to 1.50 to 1.00.

ECF Percentage” means, with respect to any Fiscal Year of the Borrower ending on or after January 31, 2015, 50%; provided that the ECF Percentage shall be reduced to # 25%, if the Consolidated Secured Leverage Ratio as of the last day of such Fiscal Year is less than or equal to 3.00 to 1.00 and greater than 2.75 to 1.00 or # 0%, if the Consolidated Secured Leverage Ratio as of the last day of such Fiscal Year is less than or equal to 2.75 to 1.00.

ECF Percentage” means 50%; provided, that the foregoing percentage shall be reduced for any applicable payment period to 25% if the Consolidated Leverage Ratio is less than 2.50:1.00 as of the last day of the last fiscal quarter of such payment period, and shall be reduced to 0% if less than 2.00:1.00 as of the last day of the last fiscal quarter of such payment period.

ECF Percentage”: 50%; provided that, with respect to each fiscal year of Holdings commencing with the fiscal year ending December 31, 2013, the ECF Percentage shall be reduced to # 25% if the Consolidated Leverage Ratio as of the last day of such fiscal year is less than 3.00 to 1.00 but greater than or equal to 2.00 to 1.00 and # 0% if the Consolidated Leverage Ratio as of the last day of such fiscal year is less than 2.00 to 1.00.

As used herein, “ECF Percentage” shall mean 50%; provided, that, with respect to each fiscal year of the Borrower ending on or after December 31, 2019, the ECF Percentage shall be reduced to 25% if the Consolidated Net Leverage Ratio as of the last day of such fiscal year is equal to or less than 3.50:1.00 but greater than 3.00:1.00 and to 0% if the Consolidated Net Leverage Ratio as of the last day of such fiscal year is equal to or less than 3.00:1.00.

ECF Percentage” means, for any fiscal year, commencing with the fiscal year ended September 30, 2017, # 50% if the Total Leverage Ratio as of the last day of such fiscal year is greater than 4.50 to 1.00, # 25% if the Total Leverage Ratio as of the last day of such fiscal year is equal to or less than 4.50 to 1.00 and greater than 3.50 to 1.00 and # 0% if the Total Leverage Ratio as of the last day of such fiscal year is equal to or less than 3.50 to 1.00.

ECF Percentage” means, for any fiscal year, commencing with the fiscal year ending December 31, 2022, # 50% if the Total Net Leverage Ratio as of the last day of such fiscal year is greater than 3.50 to 1.00, # 25% if the Total Net Leverage Ratio as of the last day of such fiscal year is equal to or less than 3.50 to 1.00 and greater than 3.00 to 1.00 and # 0% if the Total Net Leverage Ratio as of the last day of such fiscal year is equal to or less than 3.00 to 1.00.

Applicable ECF Percentage” means, for any fiscal year, # 50% if the Secured Leverage Ratio as of the last day of the applicable Excess Cash Flow Period is greater than 4.00:1.00, # 25% if the Secured Leverage Ratio as of the last day of the applicable Excess Cash Flow Period is less than or equal to 4.00:1.00 and greater than 3.00:1:00 and # 0% if the Secured Leverage Ratio as of the last day of the applicable Excess Cash Flow Period is less than or equal to 3.00:1.00.

Applicable ECF Percentage” means, for any fiscal year, # 50.0% if the Consolidated First Lien Net Leverage Ratio as of the last day of such fiscal year is greater than 4.35 to 1.00, # 25.0% if the Consolidated First Lien Net Leverage Ratio as of the last day of such fiscal year is equal to or less than 4.35 to 1.00 and greater than 3.85 to 1.00 and # 0.0% if the Consolidated First Lien Net Leverage Ratio as of the last day of such fiscal year is equal to or less than 3.85 to 1.00, in each case, calculated on a Pro Forma Basis.

Specified ECF Percentage” means, with respect to any fiscal year of the Borrower, # if the Total Net Leverage Ratio as of the last day of such fiscal year is greater than 4.00 to 1.00, 50%, # if the Total Net Leverage Ratio as of the last day of such fiscal year is greater than 3.50 to 1.00 but less than or equal to 4.00 to 1.00, 25%, and # if the Total Net Leverage Ratio as of the last day of such fiscal year is less than or equal to 3.50 to 1.00, 0%.
