. “Authorizations” means all franchises, grants, authorizations, licenses, permits, easements, consents, certificates and orders of any governmental authority or self-regulatory body required for the utilization of the Proprietary Information.

“Permitted Exceptions” shall mean all valid and subsisting restrictions, reservations, conditions, limitations, covenants, exceptions, mineral conveyances, and easements properly of record in the Real Property Records of Johnson County, Kansas.

Section # Releases. Either prior to, or shortly after each of the conveyances provided for in [[Sections 2.03, 2.05 and 2.06]6]6]] above, the transferor shall obtain the release of the undivided interests and easements to be conveyed, or conveyed, as the case may be from any liens created by, through or under the transferor (in such manner that the trustee under the transferor's first mortgage shall be bound by the transferor's covenants respecting such interests and easements as set forth in [[Sections 2.03, 2.05 and 2.06]6]6]] above).

“Encumbrances” means any and all liens, charges, title defects, security interests, easements, options, claims, mortgages, pledges, proxies, voting trusts or agreements, obligations, understandings or arrangements or similar restrictions on title or transfer.

minor survey exceptions, minor encumbrances, easements or reservations of, or rights of others for, rights of way, sewers, electric lines, telegraph and telephone lines and other similar purposes, and zoning or other restrictions as to the use of any Principal Domestic Manufacturing Property, which exceptions, encumbrances, easements, reservations, rights and restrictions do not, in the opinion of the ​, in the aggregate materially detract from the value of such Principal Domestic Manufacturing Property or materially impair its use in the operation of the business of the ​ and its Principal Domestic Subsidiaries; and

NON-EXCLUSIVE EASEMENT ESTATE, as created by that certain Reciprocal Grant of Access Easements executed by and between F.C. Associates, a Texas limited partnership, Two Forest Plaza, Ltd., a Texas limited partnership, and Forest Plaza Development Company, a Texas corporation, dated ​, filed ​ and recorded in Volume 81218, Page 1774, Real Property Records, Dallas County, Texas; as affected by Amendment to Reciprocal Grant of Access Easements dated ​, filed ​ and recorded in Volume 82058, Page 98, Real Property Records, Dallas County, Texas.

Non-exclusive easement as set out in that certain Declaration of Easements and Restrictions recorded ​ in Deed Record 294, page 371 in the Office of the Recorded of Montgomery County, Indiana.

Encumbrances consisting of minor easements, zoning restrictions, or other restrictions on the use of real property that do not (individually or in the aggregate) materially affect the value of the assets encumbered thereby or materially

with respect to any Real Property, easements, restrictions, rights of way, licenses, zoning restrictions, and other similar restrictions (including pursuant to Environmental Law) that do not materially interfere with or impair the use or operation thereof,

easements, rights-of-way, restrictions (including zoning restrictions), minor defects or irregularities in title and other similar charges or encumbrances not, in any material respect, impairing the use of the encumbered Property for its intended purposes;
