On and after the date hereof, each Company Employee shall be credited under Buyer’s vacation, sick leave and personal time policies with vacation, sick leave or personal time that is earned but unused as of the date hereof.

Sick Leave. The Employee shall be entitled to sick leave (“Yemei Mahala”) as provided by the Sickness Pay Law, 5736-1976, The Employee shall notify the Company, immediately, of any absence due to sickness and furnish the Company with an applicable medical certificate to approve it. Sick days are not redeemable and may not be converted into cash.

Employee Rights. This Agreement does not: # release or waive any rights Employee may have, if any, to pension benefits which may have vested while Employee was employed by Company; # release or waive any rights that cannot by law be released or waived by private agreement; # release or waive any workers compensation claim filed and properly disclosed to the Company before the Separation Date; or # affect or limit Employee's ability to challenge this Agreement's compliance with notice and time-period requirements of the Age Discrimination in Employment Act ("ADEA").

Employee Rights. This Agreement does not: # release or waive any rights Employee may have, if any, to pension benefits which may have vested while Employee was employed by Company; # release or waive any rights that cannot by law be released or waived by private agreement; # release or waive any workers compensation claim filed and properly disclosed to the Company before the Separation Date; or # affect or limit Employee’s ability to challenge this Agreement’s compliance with notice and time-period requirements of the Age Discrimination in Employment Act (“ADEA”).

Notice of Rights and Obligations Under the Massachusetts Family and Medical Leave Law

Vacation and Sick Leave. Employee shall be provided with vacation and sick leave in accordance with the Company's policies and procedures for senior executives as established from time to time.

Each Hired Employee will be credited # under Buyer’s sick leave policy with the amount of sick leave accrued by such Hired Employee but unused as of the Transfer Date; and # under Buyer’s vacation leave policy with the amount of vacation time accrued by such Hired Employee but unused as of the Transfer Date. For avoidance of doubt, no Hired Employee will receive any sick or vacation leave credit in excess of the amount set forth in Buyer’s policies for similarly situated employees.

Earned Units. Except as specifically provided in Section 3, the number of Units subject to this Award that the Participant will be deemed to have earned (“Earned Units”) and that are eligible for vesting as of the Vesting Date will be determined by the extent to which the Company has satisfied the performance-based objectives for the Performance Period ending on the Determination Date as set forth in [Appendix A] to this Agreement, but subject to any adjustment as described in [Appendix A]. The portion of the Units subject to this Award that will be deemed Earned Units as of the Vesting Date during the Vesting Period will be determined according to the formula specified in [Appendix A] (subject to any adjustment described therein), but in no event will the cumulative number of Units that are deemed Earned Units exceed the Maximum Number of Units. Any Units that are not earned and do not vest as of the Vesting Date will be forfeited. Notwithstanding any contrary provision of this Agreement, the Committee, in its sole discretion, may reduce the number of Earned Units that would otherwise be deemed vested as of the Vesting Date in recognition of such performance or other factors that the Committee deems relevant.

Notice of Rights and Obligations Under the Massachusetts Family and Medical Leave Law

Time of Notice. Each Borrowing of a Loan (other than a Continuation or Conversion[[SunTrustTruist Bank:Organization]] shall be made upon notice in the form provided for below which shall be provided by the Parent Borrower to the Administrative Agent at its Notice Office not later than # in the case of each Borrowing of a Eurodollar Loan on the ThirdFourth Amendment Effective Date, 11:00 A.M. (Local Time[[SunTrustTruist Bank:Organization]] at least one (1[[SunTrustTruist Bank:Organization]] Business Day prior to the date of such Borrowing, # in the case of each Borrowing of a Eurodollar Loan after the Third Amendment Effective Date, 11:00 A.M. (Local Time[[SunTrustTruist Bank:Organization]] at least three (3[[SunTrustTruist Bank:Organization]] Business Days’ prior to the date of such Borrowing, # in the case of each Borrowing of a Base Rate Loan (excluding Swing Loans and Revolving Loans made pursuant to Section 2.04(b[[SunTrustTruist Bank:Organization]]), prior to 11:00 A.M. (Local Time[[SunTrustTruist Bank:Organization]] one Business Day prior to the proposed date of such Borrowing and # in the case of any Borrowing under the Swing Line Facility, prior to 12:00 noon (Local Time[[SunTrustTruist Bank:Organization]] on the proposed date of such Borrowing.
