Normal Retirement Age: The Normal Retirement Age of a Participant shall be:

Effective Date. Notwithstanding anything to the contrary in this Agreement, except for the provisions of ARTICLE 1, this ARTICLE 2, ARTICLE 10, ARTICLE 11, and ARTICLE 14 which shall take effect as of the Execution Date and except as set forth in Section 2.1 (Effect of Agreement) of the Penn Sublicense Agreement, neither this Agreement nor the Penn Sublicense Agreement shall be binding on the Parties or otherwise take effect until the Effective Date. As used herein, the “Effective Date” means the first Business Day following such time as all of the following express conditions precedent to the effectiveness of this Agreement have been satisfied, including any and all of the following conditions that relate to the HSR Act and any other applicable Competition Laws:

Effective Date. The Plan became effective on the Effective Date. On June 15, 1992, the Board approved a restatement of the Plan, to be effective as of October 1, 1992. The restatement was approved by the Company’s stockholders at the 1992 Annual Meeting. On May 4, 1994, the Board approved an amendment to the Plan to increase the aggregate number of shares issuable over the term thereof from 100,000 to 150,000 shares. The amendment was approved by the Company’s stockholders at the 1994 Annual Meeting. In June 1997, the Board approved another amendment to the Plan to increase the aggregate number of shares issuable over the term thereof from 150,000 to 250,000 shares. The amendment was approved by the Company’s stockholders at the 1997 Annual Meeting.

Effective Date. Executive has seven business days after Executive signs this Agreement to revoke it and this Agreement will become effective upon the expiration of such seven business day period, so long as it has been signed by the Parties and has not been revoked by Executive before that date.

Effective Date. This Plan became effective on March 12, 2021 (the “Effective Date”). This Plan shall be effective from and after Effective Date and shall continue in effect until amended or terminated as provided in Section 8.4.

Effective Date. Except for the Parties’ obligations under Article 11, this Article 12 and Article 14, which shall be effective as of the Execution Date, this Agreement shall not become effective until the Effective Date.

Effective Date. The Plan will become effective upon its approval by the Company’s stockholders. It will continue in effect for a term of ten (10) years from the date of the initial Board action to adopt the Plan unless terminated earlier.

Effective Date. The effective date of this Agreement (the “Effective Date”) shall be July 1, 2020.

Effective Date. Employee understands that this Agreement shall be null and void if not executed by Employee and received by the Company on or before April 5, 2021. This Agreement will become effective on the date it has been signed by both Parties (the “Effective Date”).

The amendments set out in this Deed shall take effect on and from 31 March 2021 (“Effective Date”).
