Duty of Loyalty. While employed by the Company, I agree to devote all of my business time, attention, skill and effort to the performance of my duties for the Company, and to promoting the interests and business of the Company, and I acknowledge that I owe a duty of loyalty to the Company and agree not to engage in, or contract with others to engage in, directly or indirectly, any business or other activity which is in competition with or may reasonably result in competition with the Company or which may result in other employees or other third parties terminating their relationships with the Company.

Duty of Loyalty. During my employment with the Company, I will not engage in any business activity (either for my own profit or for anyone else) that competes with the Company's business.

During the term of this Agreement, Employee shall not, without the prior written consent of Employer, engage in any activity directly competitive with the business or welfare of Employer, whether alone, as a partner, or as an officer, director, employee, consultant, or holder of more than 1 % of the capital stock of any other corporation. Otherwise, Employee may make personal investments in any other business.

Duty of Loyalty. Executive acknowledges and agrees that Executive owes a fiduciary duty of loyalty, fidelity, and allegiance to act at all times in the best interests of Company. In keeping with these duties, Executive shall make full disclosure to Company of all business opportunities pertaining to Company’s business and shall not appropriate for Executive’s own benefit business opportunities concerning the subject matter of the fiduciary relationship.

Duty of Loyalty. During Executive’s employment with Orion, Executive shall owe Orion an undivided duty of loyalty, and shall take no action adverse to that duty of loyalty. Executive’s duty of loyalty to Orion includes but is not limited to a duty to promptly disclose to Orion any information that might cause Orion to take or refrain from taking any action, or which otherwise might cause Orion to alter its behavior. Without limiting the generality of the foregoing, Executive shall promptly notify Orion at any time that Executive decides to terminate employment with Orion or enter into competition with Orion, as Orion may decide at such time to limit, suspend, or terminate Executive’s employment or access to Orion’s Confidential Information, Trade Secrets, or customer relationships.

Duty of Loyalty/Non-Disparagement. The Executive understands that by virtue of employment with the Company, the Executive owes the Company a duty of loyalty and agrees to treat all confidential information, training, relationships with customers, goodwill, and property entrusted to the Executive as a fiduciary in connection therewith. The Executive agrees to use such training and to maintain and protect such confidential information, customer relationships, goodwill, and property solely for the Company’s benefit, and the Executive agrees that while employed by the Company and for a period of 12 months after such employment ends (the “Restricted Period), the Executive will not disparage or encourage or induce others to disparage the Company, any of the Company’s current or former subsidiaries, or any of their respective current or former officers, directors, or employees. The Executive further agrees that nothing in this Agreement shall limit, in any way, the fiduciary duties that the Executive owes to the Company under any applicable law, apart from this Agreement. Notwithstanding the foregoing, nothing in this Agreement shall be construed as prohibiting Executive from engaging in concerted activity protected by the National Labor Relations Act.

Duty of Loyalty. Employee shall render to the very best of Employee’s ability services to and on behalf of Crawford, and shall undertake diligently all duties assigned by Crawford. Employee shall devote his full time, energy and skill to the performance of the services in which Crawford is engaged, at such time and place as Crawford may direct.

Duty of Loyalty. I agree that, during my employment with the Company, I will not provide consulting services to, or become an employee of, any other firm or person engaged in a business that is in any way competitive with the Company without first informing the Company of the existence of such proposed relationship and obtaining the prior written consent of the Company’s Chief Executive Officer, or Chief Financial Officer.
