Employee agrees, during her employment with the Company, to devote her full business and professional time and best efforts to the business of the Company, including, without limitation, the performance of those duties and responsibilities reasonably and customarily associated with her position; provided, however, that Employee’s duties and responsibilities shall be subject to determination by the Board of Directors of the Company.

The Employee agrees, during her employment withshall report to the Company, toCEO and shall devote her fullhis best efforts and substantially all of his active business and professional time and best effortsattention (except for permitted vacation periods and reasonable periods of illness or other incapacity) to the business and affairs of the Company, including, without limitation, the performance of thoseCompany and its affiliates. The Employee shall perform his duties and responsibilities reasonablyto the best of his ability in a diligent and customarily associated with her position; provided, however, that Employee’s duties and responsibilitiesprofessional manner. During the Employment Period, the Employee shall be subject to determination bynot engage in any business activity which, in the reasonable judgment of the Board of Directors of the Company.Company (“Board”), conflicts with the duties of the Employee hereunder, whether or not such activity is pursued for gain, profit or other pecuniary advantage.

Employee agrees, during her employment withshall serve the Company, toCompany faithfully in the performance of Employee’s duties and shall devote herEmployee’s full business and professional time and best efforts to Employee’s employment, including the businessregularly established working hours and such additional time as the reasonable requirements of the Company, including, without limitation,Company and the performance of those duties and responsibilities reasonably and customarily associated with her position; provided, however, that Employee’s duties and responsibilitiesrequire. Employee shall not during the term of this Agreement be subject to determination byengaged in any other business activity which interferes with Employee’s obligations under this Agreement, whether or not such business activity is pursued for gain, profit, or other pecuniary advantage, without the Board of Directorsprior written approval of the Company.CEO.
