Duration of Royalty Obligations. The royalty obligations of Surface shall continue on a country-by-country basis # as to each Licensed Product, until the later of # expiration or termination of the last to expire of a Valid Claim within Patent Rights that covers such Licensed Product in that country, and # ten (10) years from the date of First Commercial Sale in such country (the “Royalty Term”). Upon expiration of the Royalty Term with respect to a Licensed Product in a country, the license grants contained in [Sections 2.1] shall become fully paid-up, royalty-free, perpetual and irrevocable for such Licensed Product in such country.

Royalties on the Licensed Product shall commence upon the First Commercial Sale of Surface shalla Licensed Product in a particular country in the Territory and will continue on a product-by-product, country-by-country basis # as to each Licensed Product, until the later of # the expiration or termination of the last to expire of a Valid Claim withinof the Compound Patent Rights that covers such Licensed Product in that country, and # ten (10) years from the date of First Commercial Sale in such country (the “Royalty Term”). Upon expiration of the Royalty Term with respect tocovering a Licensed Product in a country,such country or # the license grants contained in [Sections 2.1] shall become fully paid-up, royalty-free, perpetual and irrevocable for suchtenth (10th) anniversary of the date of the First Commercial Sale of the Licensed Product in such country.
