Notification of Subsequent Employer. You agree that the Company and/or Affiliate may notify any person or entity hiring or engaging you, or considering hiring or engaging you, to serve as a director, officer, employee, consultant, contractor or advisor, or to provide services or advice in any capacity, of the existence and provisions of this Agreement.

In the event that Employee leaves the employ of the Company, Employee hereby consents to notification by the Company to his new employer about Employee’s rights and obligations under this Agreement.

Notification of Patent Certification. Northern shall notify and provide Spero with copies of any allegations of alleged patent invalidity, unenforceability or non-infringement of a Northern Patent Right pursuant to a Paragraph IV Patent Certification by a Third Party filing an Abbreviated New Drug Application, an application under §505(b)(2) or any other similar patent certification by a Third Party, and any foreign equivalent thereof. Such notification and copies shall be provided to Spero within ​ after Northern receives such certification, and shall be sent to the address set forth in Section 9.4.

During the Pre-Closing Period, the Bank shall give prompt written notice to , and shall give prompt written notice to the Bank, of: # the occurrence, or failure to occur, of any factor or event, which occurrence or failure to occur is reasonably likely to cause # any representation or warranty of such party contained in this Agreement to be untrue or inaccurate in any material respect, in each case at any time from and after the date of this Agreement until the Effective Time, or # any covenant, condition or agreement of such party not to be satisfied in any material respect; # any material failure of the Bank or , as the case may be, or of any officer, director, employee or agent thereof, to comply with or satisfy any covenant, condition or agreement to be complied with or satisfied by it under this Agreement or # the occurrence of any change, condition or event that has had or is reasonably likely to have a Material Adverse Effect or a Bank Material Adverse Effect, as applicable. Notwithstanding the above, the delivery of any notice pursuant to this Section shall not # affect the representations and warranties of the Bank or , as the case may be, or the right of the party receiving such notice to rely on such representations and warranties (as unmodified by such notice), and # will not limit or otherwise affect the remedies available hereunder to the party receiving such notice or the conditions to such party’s obligation to consummate the Merger.

Notification of Certain Matters. YourSpace shall give prompt notice to the Company of # the occurrence or non-occurrence of any event, which would cause any YourSpace representation or warranty contained in this Agreement to be untrue or inaccurate at or prior to the Closing Date and # any failure of YourSpace to comply with or satisfy any covenant, condition or agreement to be complied with or satisfied by it hereunder; provided, however, that the delivery of any notice pursuant to this Section 5.5 shall not limit or otherwise affect the remedies available hereunder to the Company.

In the event that Executive obtains new employment on or prior to June 30, 2020, Executive shall: # disclose this Agreement to his new employer prior to beginning the employment; and # notify the Company of the identity of his new employer within seven (7) days after accepting any offer of employment by sending a written notification to the Company.

USA PATRIOT ACT NOTIFICATION. The following notification is provided to the Borrowers pursuant to the Patriot Act:

The Executive does not need the prior written consent of (or to give notice to) the Company regarding any such Permissible Disclosures or disclosures protected by the DTSA. Notwithstanding the foregoing, no provision in this Agreement shall be construed or interpreted as authorization from the Company for the Executive to disclose any information covered by the Company’s attorney-client or attorney work product privileges or a waiver of any such privilege.

U.S. DEFEND TRADE SECRETS ACT NOTICE OF IMMUNITY. The U.S. Defend Trade Secrets Act of 2016 (“DTSA”) provides that an individual shall not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that # is made # in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney; and # solely for the purpose of reporting or investigating a suspected violation of law or # is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. In addition, the DTSA provides that an individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the attorney of the individual and use the trade secret information in the court proceeding, if the individual # files any document containing the trade secret under seal and # does not disclose the trade secret, except pursuant to court order.
