its URLs, domain names, Copyrights, Trademarks and Patents;

No Loan Party has been known by any other corporate name in the past five years and no Loan Party sells Inventory under any other name except as set forth on [Schedule 5.21], nor has any Loan Party been the surviving company of a merger or consolidation or acquired all or substantially all of the assets of any Person during the preceding five (5) years.

Any and all domain names and related proprietary information and technology not owned or controlled by the Company as of the date of this Agreement, unless those domain names are purchased by the Company during the term of the Agreement

“Domain Name” shall mean, collectively, all of each Grantor’s Internet domain names and associated URL addresses and all goodwill associated therewith or symbolized thereby.

Ovid shall have the exclusive right to register the trademark(s) as domain names, including all internet domain names under all existing top level domains. This includes as examples Generic Product top level domains such as .com, .net, .info and country code top level domains such as .co, .uk and .dk.

“Trademarks” means all trademarks, service marks, trade dress, trade names, brand names, Internet domain names, designs, logos, or corporate/company names (including, in each case, the goodwill associated therewith), whether registered or unregistered, and all registrations and applications for registration and renewal thereof.

“Intellectual Property Rights” shall mean all intellectual and industrial property rights, whether registered or unregistered, including trade and service marks, patents, utility models, designs and design rights, trade and business names, domain names, rights in domain names, topography rights, copyrights, object/source code rights, algorithms, database rights, and all other similar proprietary rights which may subsist in any part of the world and all applications and registrations relating to any of the foregoing rights.

All right, title and interest to the domain names "GrowthStarLED.com"; "MCOBGrowlights.com"; "IndoorJungle.ca"; "LEDCanada.com" (and any geographic derivatives of this domain name, for example "LEDAlberta.com") and to each of their associated websites and the content contained therein.

“Marks” shall mean those trademarks, tradenames, service marks, logos, domain names, and styling provided by one Party to the other or otherwise approved in writing by a Party solely in connection with Parties’ exercise of the rights granted under this Agreement.
