Assignment of Domain Names. Seller will execute and deliver to Buyer an Assignment of Domain Names in the form attached hereto as [Exhibit H];

“Domain Names” means any and all Internet addresses and domain names, together with all applications, registrations and renewals in connection therewith;

#Annex G correctly sets forth all material Domain Names and Domain Name Licenses as of the date hereof that are used or proposed to be used by any Grantors in its business (other than any Domain Name or Domain Name License disclosed under Annex F). Except to the extent such failure could not reasonably be expected to result in a Material Adverse Change, # each Grantor is the sole and exclusive owner of all of its Domain Names and has the authority to transfer all of its Domain Names, # the Grantors possess the valid right to use all of the domain names subject to the Domain Name Licenses, # all registrations of Domain Names with the applicable domain name registry and with any domain name registrars are in full force and effect, # all applicable maintenance fees, affidavits and other filings or payments are current and # to the knowledge of such Grantor, no claim has been made in writing that any of its Domain Names are not validly owned by such Grantor.

Eminent Domain. If the whole or any part of the Premises shall be condemned or acquired by eminent domain for any public or quasi-public use or purpose, then the term of this Lease shall cease and terminate as to the portion of the Premises so condemned as of the date of vesting of title in such proceeding and all rentals shall be paid up to the date of the vacating of the Premises (or part thereof as the case may be) by Tenant and Tenant shall have no claim against Landlord nor the condemning authority for the value of any unexpired term of this Lease.

In the event # the whole of all Affected Areas or # such part thereof as shall substantially interfere with Tenant’s use and occupancy of the Premises for the Permitted Use shall be taken for any public or quasi-public purpose by any lawful power or authority by exercise of the right of appropriation, condemnation or eminent domain, or sold to prevent such taking, Tenant or Landlord may terminate this Lease effective as of the date possession is required to be surrendered to such authority, except with regard to # items occurring prior to the taking and # provisions of this Lease that, by their express terms, survive the expiration or earlier termination hereof.

Domain & SSL. Provision of a domain name ( www.yourwebsite.com ) and SSL (Secure Socket Layer - Internet security protocol for securing data) are not included as part of this agreement. Cost of purchase of these items is Licensee's responsibility, although Licensor may assist with the technical aspects of the purchase on behalf of Licensee at Licensees request.

“Domain Names” means all domain names owned by, used by or assigned to the Loan Parties and all exclusive and nonexclusive licenses to the Loan Parties from third parties of rights to use domain names owned by such third parties, together with any and all renewals and extensions thereof.

Communication Addresses. All telephone numbers, facsimile numbers, internet addresses, internet domain names, internet domain name registrations, log-in identifications, user identifications, screen names and on-line service identifications relating to Sellers ("Communication Addresses").

“Domain Name Collateral” shall mean, collectively, all Domain Names and Domain Name Licenses to which any Grantor is a party and all other General Intangibles embodying, incorporating or evidencing any Domain Name or Domain Name License.

“Marks” shall mean all rights in trademarks, service marks, trade names, service names, brand names, trade dress rights, logos, Internet domain names and corporate names, and all applications, registrations and renewals thereof.
