The provisions of the Collateral Documents are effective to create in favor of the Collateral Agent for the benefit of the Secured Parties a legal, valid and enforceable first priority Lien (subject to Liens permitted by Section 7.01) on all right, title and interest of the respective Loan Parties in the Collateral described therein. Except for filings completed on or prior to the ClosingRestatement Date and as contemplated hereby and by the Collateral Documents, no filing or other action will be necessary to perfect such Liens.

CollateralSECTION # Security Documents. The provisions of the CollateralSecurity Documents are effective to create in favor of the Collateral Agent for the benefit of the Secured Parties a legal, valid and enforceable first priority Lien (subject to Liens permitted by Section 7.01)[Section 6.02]) on all right, title and interest of the respective Loan Parties​ in the Collateral described therein.therein to secure the Secured Obligations, except for any failure that would not constitute an Event of Default under [Section 7.01(p)]. Each Collateral Documents. The provisionsDocument, other than any Collateral Document referred to in the preceding paragraphs of this [Section 4.21], upon execution and delivery thereof by the parties thereto and the making of the Collateral Documents arefilings and taking of the other actions provided for therein, will be effective under applicable law to create in favor of the Collateral AgentAgent, for the benefit of the Secured PartiesParties, a legal, valid and enforceable first priority Lien (subject to Liens permittedsecurity interest in the Collateral subject thereto (except as such enforceability may be limited by Section 7.01) onDebtor Relief Laws and general principles of equity), and will constitute a fully perfected security interest in all right, title and interest of the respective LoanCredit Parties in the Collateral described therein. Except for filings completed on orsubject thereto, prior and superior to the ClosingRestatement Date and as contemplated hereby and by the Collateral Documents, no filing orrights of any other action will be necessaryPerson, but subject to perfect suchPermitted Liens.

Perfection, Etc. Except as permitted under the Collateral Documents. The provisions ofDocuments, all filings and other actions necessary to perfect and protect the security interest in the Collateral created under the Collateral Documents have been duly made or taken and are effective toin full force and effect, and the Collateral Documents create in favor of the Collateral Agent for the benefit of the Secured Parties a legal, valid and, together with such filings and enforceableother actions, perfected first priority Liensecurity interest in the Collateral (subject to Liens permitted by Section 7.01) on all right, title and interestunder the Loan Documents), securing the payment of the respective Loan Parties in the Collateral described therein. Except forObligations, and all filings completed on or prior to the ClosingRestatement Date and as contemplated hereby and by the Collateral Documents, no filing or other action will beactions necessary to perfect and protect such Liens.security interest have been duly taken. The Loan Parties are the legal and beneficial owners of the Collateral free and clear of any Lien, except for the liens and security interests created or permitted under the Loan Documents.
