Corporate Documents. The Administrative Agent (or its counsel) and each Lender shall have received such certificates of resolutions or other action, incumbency certificates and/or other certificates of any directors or officers of the Company, the Parent and the Servicer as the Administrative Agent may reasonably require evidencing the identity, authority and capacity of each director or officer thereof or other Person authorized to act in connection with this Agreement and the other Loan Documents, and such other documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, formation, registration or incorporation, existence and good standing of the Company, the Parent and the Servicer and any other legal matters relating to the Company, the Parent, the Servicer, this Agreement or the transactions contemplated hereby, all in form and substance satisfactory to the Administrative Agent and its counsel.

Corporate Documents. The Administrative Agent (or its counsel) and each Lender shall have received such certificates of resolutions or other action, incumbency certificates and/or other certificates of any directors or officers of the Company, the ParentCompany and the Servicer as the Administrative Agent may reasonably require evidencing the identity, authority and capacity of each director or officer thereof or other Person authorized to act in connection with this Agreement and the other Loan Documents,Amendment, and such other documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, formation, registration or incorporation, existence and good standing of the Company, the ParentCompany and the Servicer and any other legal matters relating to the Company, the Parent,Company the Servicer, this AgreementAmendment or the transactions contemplated hereby, all in form and substance satisfactory to the Administrative Agent and its counsel.

The Administrative Agent (or its counsel) and each Lender shall have received such certificates of resolutions or other action, incumbency certificates and/or other certificates of any directors or officers# a recently dated certificate as to the good standing of the Company,Borrower under the Parentlaws of its jurisdiction of incorporation, and # a certificate of the Servicersecretary or assistant secretary of the Borrower certifying # that attached thereto are true and complete copies of # the certificate of incorporation, certificate of formation or equivalent formation document of the Borrower, and all amendments thereto, certified as of a recent date by the Administrative Agent may reasonably require evidencingappropriate Governmental Authority in its jurisdiction of incorporation, # the identity, authoritybylaws, operation agreement, limited liability company agreement or equivalent document of the Borrower as in effect on the First Amendment and capacityRestatement Effective Date, and # the resolutions of each director or officer thereof orthe board of directors (or other Person authorized to act in connection withappropriate governing body) of the Borrower, authorizing the borrowings contemplated hereunder, the execution, delivery and performance of this Agreement and the other Loan Documents,Documents to which the Borrower are contemplated to be a party, and such other documents and certificates# as the Administrative Agent or its counsel may reasonably request relating to the organization, formation, registration or incorporation, existenceincumbency and good standinggenuineness of the Company,signature of each officer of the Parent and the Servicer and any other legal matters relating to the Company, the Parent, the Servicer, this Agreement or the transactions contemplated hereby, all in form and substance satisfactory to the Administrative Agent and its counsel.Borrower executing Loan Documents.

The Administrative Agent (or its counsel) and each Lender shall have received a customary closing certificate from a secretary, assistant secretary or similar officer or authorized representative of each Loan Party that is a party hereto, in each case, certifying as to # resolutions duly adopted by the board of directors (or equivalent governing body) of each such certificatesLoan Party authorizing the execution, delivery and performance of resolutionsthis Agreement (and the Loan Documents or other action, incumbency certificates and/documents executed in connection herewith or therewith), # the accuracy and completeness of copies of the certificate or articles of incorporation, association or organization (or memorandum of association or other certificatesequivalent thereof) of any directors or officerseach such Loan Party certified by the relevant authority of the Company, the Parent and the Servicer as the Administrative Agent may reasonably require evidencing the identity, authority and capacityjurisdiction of organization of each such Loan Party and copies of the by-laws or operating, management, partnership or similar agreement of each such Loan Party and that such documents or agreements have not been amended (except as otherwise attached to such certificate and certified therein as being the only amendments thereto as of such date), # incumbency (to the extent applicable) and specimen signatures of each officer, director or officer thereofauthorized representative executing any Loan Document on behalf of each such Loan Party and # the good standing (or subsistence or existence) of each such Loan Party from the Secretary of State (or similar official) of the state or other Person authorized to actjurisdiction of such Loan Party’s organization (to the extent relevant and available in connection with this Agreement and the otherjurisdiction of organization of such Loan Documents, and such other documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, formation, registration or incorporation, existence and good standing of the Company, the Parent and the Servicer and any other legal matters relating to the Company, the Parent, the Servicer, this Agreement or the transactions contemplated hereby, all in form and substance satisfactory to the Administrative Agent and its counsel.Party).
