Record Keeping. Catalent shall maintain materially complete and accurate Batch, laboratory data, reports and other technical records relating to Processing in accordance with Catalent standard operating procedures. Such information shall be maintained for a period of at least 2 years from the relevant finished Product expiry date or longer if required under Applicable Laws or the Quality Agreement.

Record Date. If the Company takes a record of the holders of shares of Common Stock for the purpose of entitling them # to receive a dividend or other distribution payable in shares of Common Stock, Options or in Convertible Securities or # to subscribe for or purchase shares of Common Stock, Options or Convertible Securities, then such record date will be deemed to be the date of the issuance or sale of the shares of Common Stock deemed to have been issued or sold upon the declaration of such dividend or the making of such other distribution or the date of the granting of such right of subscription or purchase (as the case may be).

Record Date. Record Holders. The Partnership and the transfer agent for the Series A Preferred Units may deem and treat the record holder of any Series A Preferred Units as the true and lawful owner thereof for all purposes, and neither the Partnership nor the transfer agent shall be affected by any notice to the contrary.

Record Keeping. Allogene will keep, and cause its Affiliates and Sublicensees to keep, accurate books of account and records in connection with the sale of Allogene Licensed Products, in sufficient detail to permit accurate determination of all figures necessary for verification of royalties to be paid hereunder. Allogene will maintain, and cause its Affiliates and Sublicensees to maintain, such records for a period of at least ​ after the end of the Calendar Year in which they were generated.

Each Party shall maintain complete and accurate records (paper or electronic as applicable) of its Research and Development activities in sufficient detail, including in sufficient detail for purposes of making patent filings, in good scientific manner, or otherwise in a manner that reflects all work done and results achieved, as well as, with respect to Aduro, ​.

Record Preservation. Lenders reserve the right to record and retain telephonic requests and other forms of data transmissions for their records. In the event of a conflict between Borrower's records and Lenders' records, the Lenders' records will govern.
