JSC.The JSC shall meet by audio or video teleconference, or in person, as agreed by the JSC, on ​ as agreed by the Parties, or as necessary to make determinations as required of it. Any member of the JSC may designate a substitute to attend and perform the functions of that member at any meeting of the JSC and each Party may, in its reasonable discretion, invite non-member representatives of such Party to attend such meetings with advance written notice to the other Party. Either Party may request a meeting of the JSC, which shall occur as soon as reasonably necessary to address the stated purpose of the meeting. For clarity, the JSC will timely meet in a manner sufficient to address any urgent issues.

Dissolution of JSC. With respect to each Program, the JSC’s responsibilities, and the responsibilities of any subcommittee under the JSC, shall terminate automatically upon […​…]

Dissolution of JSC. The JSC will be dissolved upon the expiration of the Research Term or the earlier termination of this Agreement.

Dissolution. Any order, judgment or decree shall be entered against any Loan Party decreeing the dissolution or split up of such Loan Party; or

Dissolution. Any order, judgment or decree shall be entered against the Company decreeing its involuntary dissolution or split up from its Significant Subsidiaries and such order shall remain undischarged and unstayed for a period in excess of sixty (60) days; or the Company shall otherwise dissolve or cease to exist except as specifically permitted by this Agreement.

Dissolution. JSC dissolution. ​ from expiration of the last to expire Research Period, the JSC shall be dissolved. For clarity, after JSC dissolution, matters of coordination between the Parties will be handled by the Alliance Managers.

JSC. The JSC will address an Additional Development Proposal within ​ days after receipt thereof as set forth in Section 3.4.1. Any changes to the Kyorin Development and Global Development Plan will be subject to Section 2.2.

Dissolution of JSC. The JSC will be dissolved upon the expiration of the Research Term or the earlier termination of this Agreement, unless extended as set forth in [Section 2.4.15].

Dissolution of JSC. The JSC and any subcommittees shall be dissolved on a program-by-program basis upon: # with respect to any Licensed Program, the date on which ​ with respect to such Licensed Program, # with respect to any Option Program, the expiration of the Option Term for such Option Program without an exercise of the License Option for such Option Program. The JSC and any subcommittees shall be dissolved in their entirety upon [[FibroGen:Organization]]’s election in accordance with [Section 15.7] (Change of Control of HFB). Once the JSC is disbanded with respect to any program, the JSC will have no further obligations under this Agreement with respect to such program and, thereafter, the Alliance Managers will be the points of contact for the exchange of information between the Parties under this Agreement and any references in this Agreement to decisions of the JSC will automatically become references to decisions by and between the Parties in writing, subject to the other terms of this Agreement and consistent with the terms of Section 3.3(c) (Final Decision-Making Authority).
