Non -Disparagement. The Parties, for themselves, their attorneys, agents (including specifically Thomas Gray), members, owners, officers, directors, employees, affiliates and representatives, agree that they will not defame or disparage each other and will not, directly or indirectly, say or take any action that damages or impairs the business organization, goodwill, and reputation of any other Party or any other Party’s agents, affiliates or related entities, except as compelled by judicial or executive process. Should a Party or its representative breach this provision, the disparaging Party agrees to pay the disparaged Party for any actual damages sustained as a result of the disparagement.
Non-Disparagement. Both parties agree that, during the Term and for a period of one year thereafter, that neither you nor shall, in any communications with the press or other media or any customer, client or supplier of or any of ’s affiliated companies, criticize, ridicule or make any statement which disparages or is derogatory of you or or any of ’s affiliated companies, or any of their respective directors or senior officers.
Non-Disparagement. The Executive understands and agrees that, to the extent permitted by law, he shall not make any false, disparaging, derogatory or defamatory statements to any person or entity, including, but not limited to, any media outlet, industry group, financial institution or current or former officer, employee, board member, consultant, client or customer of the Company regarding the Company or any of the other Released Parties, or regarding the Company's business affairs, business prospects, or financial condition.
Non-disparagement. Smathers agrees that he will not disparage in any manner likely to be harmful to the business, its products, potential products, or the personal or business reputation of ’s directors, shareholders or employees.
No Disparagement. During my employment with Company and after the termination thereof, I will not disparage Company, its products, services, agents or employees.
Non-Disparagement. As provided in the Employment Agreement, Employee has agreed not to disclose, communicate, or publish any disparaging or negative information, writings, electronic communications, comments, opinions, facts, or remarks, of any kind, about the Company and/or any of the other Released Parties following the Termination Date.
Mutual Non-Disparagement. The Parties shall not, and shall cause their Affiliates and their respective officers, directors, managers, employees and agents, and shall instruct their respective advisors, not to, directly or indirectly, make any public statements, comments or communications relating to the subject matter of this Agreement or the transactions contemplated by the SPA that would reasonably be expected to constitute disparagement of any other Party or any of their Affiliates or their respective officers, directors, managers, employees or agents or that may reasonably be considered to be derogatory or detrimental to the good name or business reputation of any other Party or any of their Affiliates or their respective officers, directors, managers, employees or agents. Where applicable, the obligations in the foregoing sentence apply to any public statements, comments, or communications in any form, whether oral, written, or electronic, excluding internal announcements and communications by a Party or its Affiliates and any communications between the Parties and their attorneys. The Parties further agree that they will not in any way solicit any such public statements, comments, or communications.
Mutual Non-Disparagement. I agree that I will not make, publish, or communicate to any person or entity in any public form any defamatory or disparaging remarks, comments, or statements concerning the Company or its business, employees, customers or affiliates. I understand this provision is not meant to restrict my rights under Section 7 of the National Labor Relations Act. Company agrees that it will not make, publish, or communicate to any person or entity in any public form any defamatory or disparaging remarks, comments, or statements concerning you.
The Service Provider agrees that all information relating to the business and affairs of the Company shall at all times and for all purposes be confidential and held by the Service Provider in confidence and solely for the benefit of the Company.
Post-Employment Covenants. Post-Employment Covenants means those covenants between the Company and the Officer regarding such matters as confidentiality, non-disclosure, non-competition, non-disparagement and non-solicitation that remain in effect or become effective following the Employment Severance Date.
