Discretionary Bonus. During your employment with the Company, the Company may grant you an annual bonus in an amount, if any, and at such times as the Company’s Board of Directors, in its sole discretion, may determine based upon the assessment of the Company’s financial performance and performance of your duties on behalf of the Company. You must be an active employee on the day payment is made in order for you to receive the bonus.

Discretionary Bonus. You will be eligible to participate in the Company’s annual bonus program pursuant to the terms of that program and you will be eligible to receive a bonus of up to forty percent (40%) of your annual base salary. Your actual bonus, if any, will be determined by the Company’s Board of Directors (the “Board”), or the Compensation subcommittee thereof, in its sole discretion, based upon its evaluation of your performance, the Company’s performance, and any other considerations it deems relevant. For your initial year of employment, your bonus will be pro-rated for the time elapsed in the bonus period for which you were employed by the Company. You must be employed through the bonus payment date to be eligible for, and to earn, any such bonus. Bonuses are typically paid within sixty (60) days after the end of the calendar year. Any bonus payment will be subject to payroll deductions and required withholdings.

Discretionary Bonus. Executive shall be eligible for a yearly discretionary cash, stock or equity bonus (a “Discretionary Bonus”) equal to an amount as determined by the Committee and based on the condition of the Company’s business and results of operations, and the Committee’s evaluation of Executive’s individual performance for the relevant period and/or such other matters as the Committee in its discretion may deem relevant. Each Discretionary Bonus shall be paid in the Committee’s discretion.

Discretionary Bonus. Discretionary Bonus. With respect to each fiscal year, the Committee, at its sole discretion, has the ability to award one or more discretionary bonuses to the Employee, provided, however, that in no event shall any such discretionary bonus(es) with respect to such fiscal year in the aggregate exceed 50% of the Employee’s Base Salary actually earned with respect to such fiscal year.

Discretionary Bonus. Following the end of each fiscal year and subject to the approval of the Company’s Board of Directors or a committee of the Board of Directors (the “Board”), you may be eligible for a retention and performance bonus, based on your performance and the Company’s performance during the applicable fiscal year, as determined by the Company in its sole discretion. The bonus payable to you for 2018, if any, will be based on your full-year salary, and not pro-rated for the time since hire date. Your target bonus is 40% of your annualized base salary. Such target bonus may be adjusted from time to time in accordance with normal business practices and in the sole discretion of the Company. You must be an active employee of the Company on the date any bonus is distributed in order to be eligible for and to earn a bonus award, as it also serves as an incentive to remain employed by the Company.
