Discretionary Bonus. At the end of each Calendar year, if employed by the Company, Officer will be eligible for a discretionary cash bonus of between 50% and 125% of the Salary, with a target bonus of 100% of Officer’s Salary (the “Target Bonus”), based on the achievement of operational and strategic performance goals established by the Committee in consultation with Officer. Such discretionary annual bonus will be evaluated and paid (if applicable) no later than the last day of the second month following the calendar year in which such bonus was earned. The Officer and the Company will set forth the goals for 2021 within sixty (60) days after the date of this Agreement. Thereafter, goals will be set annually within sixty (60) days after the end of the company's fiscal year.

Discretionary Bonus. You will be eligible to participate in the Company’s annual bonus program pursuant to the terms of that program and you will be eligible to receive a bonus of up to thirty-five percent (35%) of your annual base salary. Your actual bonus, if any, will be determined by the Company’s Board of Directors, or the Compensation subcommittee thereof (the “Board”), in its sole discretion, based upon its evaluation of your performance, the Company’s performance, and any other considerations it deems relevant. You must be employed through the bonus payment date to be eligible for, and to earn, any such bonus. Any bonus payment will be subject to payroll deductions and required withholdings.

Discretionary Bonus. The Executive is eligible for a discretionary annual bonus (an “Annual Discretionary Bonus”) of up to one hundred percent (100%) of his then-applicable Base Annual Compensation, subject to the approval of the CEO, in his sole discretion. The CEO shall have the discretion to determine, on either a prospective or retrospective basis, the factors, criteria or annual bonus plan(s), including performance goals which must be met, if any, for such Annual Discretionary Bonus to be paid to the Executive for each applicable year. Any Annual Discretionary Bonus earned by the Executive will be paid within two and one-half (2 ½) months following the end of the calendar year in which the Annual Discretionary Bonus is earned.

Discretionary Bonus. Within 60 days from the end of each fiscal year during the Term, the Compensation Committee of the Board shall evaluate Executive’s performance in light of factors that such committee deems relevant. Based on this evaluation, Executive will be eligible to receive a bonus award of up to $300,000 for performance in each fiscal year. The amount of the bonus, if any, shall be determined in the sole discretion of the Compensation Committee of the Board and shall be paid in accordance with the Company’s regularly established payroll practice within 75 days of the end of the relevant fiscal year.

Discretionary Bonus. In the event that the Executive’s employment continues beyond the Initial Employment Term (as defined below), for each calendar year or portion thereof during the Executive’s employment, the Executive shall be eligible for a discretionary bonus (the “Bonus”) prorated for any partial year, less applicable payroll deductions and tax withholdings, upon the same terms and criteria as provided for the Company’s Chief Operating Officer as set forth separately to the Executive. In the event that the Executive’s employment continues beyond the Initial Employment Term, the Bonus for the Executive’s first calendar year of employment shall have accrued from the commencement of the Executive’s employment. Any Bonus will be targeted for payment to the Executive no later than March 15th of the calendar year immediately following the calendar year to which the Bonus relates. The Executive must be employed as an employee in good standing by the Company on the payment date to receive any Bonus, unless mutually agreed between the Parties in writing at the time. The awarding of bonuses, if any, shall be determined reasonably and in good faith by the Board. Bonus payments are always at the discretion of the Board. In the event that the Executive does not continue past the Initial Employment Term, the Company may, in its sole discretion, consider, but is not obligated to pay, a discretionary bonus for the period of the Initial Employment Term

Discretionary Bonus. The Executive is eligible for a discretionary annual bonus (an “Annual Bonus”) of up to one-hundred percent (100%) of his then-applicable Base Annual Compensation, subject to the approval of the Company, in its sole discretion. Any Annual Bonus earned by the Executive will be paid within two and one-half (2 ½) months following the end of the year in which the Annual Bonus is earned.

Discretionary Bonus. In addition to the Base Salary, the car allowance, and the equity and bonus opportunities referred to in [Sections 4.6-4.0], the Executive shall be eligible to receive discretionary bonuses as determined by the CEO or the Board of Directors of the Company (the “Board”). The payment of such discretionary bonuses shall not create an entitlement to any discretionary bonus in the future.

Discretionary Bonus. In addition to the Base Salary, the Executive shall be eligible to earn, for each fiscal year of the Company ending during the Employment Period, an annual cash discretionary performance bonus (an “Annual Bonus”) under the Company’s discretionary bonus plan or program applicable to senior executive officers. The actual amount of the Annual Bonus shall be determined on the basis of the attainment of financial performance metrics and/or individual performance objectives, in each case as established and approved by the Board or the Compensation Committee of the Board in its sole discretion. This Annual Bonus, if any, shall be pro-rated for any partial year of employment and paid to the Executive between January 1 and March 15 of the year following the year in which the services which gave rise to the Annual Bonus were performed; provided, however, that if the Company is unable to determine the amount of such Annual Bonus prior to such date, then such Annual Bonus shall be paid no later than December 31 of such year. The Board or the Compensation Committee of the Board, may, in its sole discretion, review, revise and amend the terms of the cash compensation incentive or similar plan(s) referenced above, if any, at any time in any manner it may deem appropriate; provided, however, that any amendment to the plan(s) shall not, without the Executive’s consent, affect the Executive’s right to participate in such amended plan or plans or change the time or form of payment provided thereunder, except to the extent necessary to comply with applicable law.

Discretionary Bonus. Following the end of each calendar year and subject [[Organization A:Organization]] the approval of the Board, the Executive may be eligible [[Organization A:Organization]] receive in that subsequent year a discretionary retention and performance bonus (the “Annual Bonus”). The target amount of such Annual Bonus will be 100% of the Executive’s then current Base Salary, based on the Executive’s performance and the Company’s performance during the applicable calendar year, as determined by the Board in its sole discretion. Discretionary Bonus. Executive shall be eligible for a yearly discretionary cash, stock or equity bonus (a “Discretionary Bonus”) equal to an amount as determined by the Committee and based on the condition of the Company’s business and results of operations, and the Committee’s evaluation of Executive’s individual performance for the relevant period and/or such other matters as the Committee in its discretion may deem relevant. Each Discretionary Bonus shall be paid in the Committee’s discretion.
