Cause. Notwithstanding the foregoing, if the Participant and the Company or the Affiliate have entered into an employment or services agreement which defines the term “Cause” (or a similar term), such definition shall govern for termination under applicable statutory or common law.purposes of determining whether such Participant has been terminated for Cause for purposes of this Plan. The determination of Cause shall be made by the Administrator, in its sole discretion.

Cause. For purposes of this Section 7, “Cause”Cause shall be defined asmean with respect to a Participant, the occurrence of any one or more of the following acts or events: # such Participant’s commission of any felony or any crime involving fraud, misappropriation, embezzlement,dishonesty or othermoral turpitude under the laws of the United States, any state thereof, or any applicable foreign jurisdiction; # such Participant’s attempted commission of, or participation in, a fraud or act of material dishonesty against the Company; #Company or any act or acts by Participant with respect to Company which constitute a breach of Participant’s fiduciary duties or duties of honesty, good faith and loyalty (including derogatory statements regarding the Company, but excluding statements made in connection with any legal action filed against the Company); # any act by Participant which is intentionally damaging to the Company; # commission by Participant of a felony or misdemeanor involving moral turpitude; # a material breach by Participant of any provision of this Agreement within his control or failure of Participant to properly and diligently perform his duties as an employee, officer and/or director of the Company, which violation is not remedied within three (3) days after notice from Company specifying such violation; # alcohol or drug abuse affecting in any material respect the performance by the Participant of his duties and responsibilities as an employee, officer and/or directorsubsidiary of the Company; # commissionsuch Participant’s intentional, material violation of any other actcontract or acts which substantially impairsagreement between the reputationParticipant and standingthe Company or any subsidiary of the Company withor of any statutory duty owed to the Company or any subsidiary of the Company; # such Participant’s unauthorized use or disclosure of the Company’s or any of its customerssubsidiaries’ confidential information or trade secrets; or # such Participant’s gross misconduct. The determination that a termination of a Participant’s employment is either for Cause or without Cause shall be made by the community at large; and # any act or circumstance constituting “cause” for termination under applicable statutory or common law.Company in its sole discretion.

For purposes of this Section 7, “Cause”Agreement, “Cause shall be defined asmean any of the occurrencefollowing: # conviction, including a plea of guilty or no contest, of any onefelony or moreany crime involving moral turpitude or dishonesty; # fraud upon the Company (or an affiliate), embezzlement or misappropriation of the followingcorporate funds; # willful acts or events: # fraud, misappropriation, embezzlement, or other act of material dishonesty against the Company; # any act or acts by Participant with respect to Company which constitute a breach of Participant’s fiduciary duties or duties of honesty, good faith and loyalty (including derogatory statements regarding the Company, but excluding statements made in connection with any legal action filed against the Company); # any act by Participant which is intentionally damagingmaterially harmful to the Company; # commission by Participantactivities materially harmful to the Company’s reputation; # Employee’s willful misconduct, willful refusal to perform his duties, or substantial willful disregard of a felonyhis duties, provided that the Company first provides Employee with written notice of such conduct and thirty (30) days to cure such conduct, if such conduct is reasonably susceptible to cure; or misdemeanor involving moral turpitude; # a material breach by Participant of any provision of this Agreement within his control or failure of Participant to properly and diligently perform his duties as an employee, officer and/or directorAgreement, any other agreement with the Company, any policy of the Company, which violationor any statutory duty or common law duty of loyalty owed to the Company that causes material harm to the Company; provided, no act or omission on Employee’s part shall be considered “willful” unless it is not remedied within three (3) days after notice from Company specifying such violation; # alcohol or drug abuse affectingdone by Employee without reasonable belief that the Employee’s action was in any material respect the performance by the Participant of his duties and responsibilities as an employee, officer and/or directorbest interests of the Company; # commission of any other act or acts which substantially impairs the reputation and standing of Company with its customers or the community at large; and # any act or circumstance constituting “cause” for termination under applicable statutory or common law.Company.

Cause. For purposes of this Section 7,(f) “Cause” shall be defined as the occurrencemeans # Participant’s conviction for, or guilty plea to, a felony, # Participant’s commission of any one or more of the following acts or events: # fraud, misappropriation, embezzlement, or otherintentional act of materialfraud or dishonesty against the Company;Company that results in material harm to the business of the Company, its Parent (if any) and its Subsidiaries, taken as a whole, # any act or acts by Participant with respect to Company which constitute a breach of Participant’s fiduciary duties or duties of honesty, good faith and loyalty (including derogatory statements regarding the Company, but excluding statements made in connection with any legal action filed against the Company); # any act by Participant which is intentionally damaging to the Company; # commission by Participant of a felony or misdemeanor involving moral turpitude; # a material breach by Participant of any provision of this Agreement within his controlany written agreement between the Company or failureany Parent or Subsidiary of the Company and Participant regarding the terms of Participant’s service to properly and diligently perform his duties as an employee, officer and/the Company or directora Parent or Subsidiary of the Company, which violation is not remedied within three (3) days after notice from Company specifying such violation; # alcohol or drug abuse affecting inincluding without limitation, any material respectbreach of any applicable invention assignment and confidentiality agreement or similar agreement between the performanceCompany or a Parent or Subsidiary of the Company and Participant, in each case that results in material harm to the business of the Company, its Parent (if any) and its Subsidiaries, taken as a whole, or # any other intentional, material misconduct by Participant in the Participantperformance of his duties and responsibilities as an employee, officer and/or directorto the Company that results in material harm to the business of the Company; # commission ofCompany, its Parent (if any) and its Subsidiaries, taken as a whole; provided that any other actaction, breach, or acts which substantially impairsmisconduct described in [clauses (ii) through (iv)] will constitute “Cause” only if such action, breach or misconduct continues after the reputationCompany has provided Participant with written notice thereof and standing of Company with its customersthirty (30) days to cure the same if such action, breach or the community at large; and # any act or circumstance constituting “cause” for termination under applicable statutory or common law.misconduct is curable.

Cause.Cause has the same definition as under any employment or service agreement between the Company or any Affiliate and the Participant or, if no such employment or service agreement exists or if such employment or service agreement does not contain any such definition, Cause means # the Participant’s act or failure to act amounting to gross negligence or willful misconduct to the detriment of the Company or any Affiliate; # the Participant’s dishonesty, fraud, theft or embezzlement of funds or properties in the course of Participant’s employment; # the Participant’s commission of or pleading guilty to or confessing to any felony; or # the Participant’s breach of any restrictive covenant agreement with the Company or any Affiliate, including but not limited to, covenants not to compete, non-solicitation covenants and non-disclosure covenants. For purposes of this Section 7, “Cause”the Plan, the Participant’s resignation in anticipation of termination of employment for Cause shall be defined as the occurrence of any one or more of the following acts or events: # fraud, misappropriation, embezzlement, or other act of material dishonesty against the Company; # any act or acts by Participant with respect to Company which constitute a breachtermination of Participant’s fiduciary duties or duties of honesty, good faith and loyalty (including derogatory statements regarding the Company, but excluding statements made in connection with any legal action filed against the Company); # any act by Participant which is intentionally damaging to the Company; # commission by Participant of a felony or misdemeanor involving moral turpitude; # a material breach by Participant of any provision of this Agreement within his control or failure of Participant to properly and diligently perform his duties as an employee, officer and/or director of the Company, which violation is not remedied within three (3) days after notice from Company specifying such violation; # alcohol or drug abuse affecting in any material respect the performance by the Participant of his duties and responsibilities as an employee, officer and/or director of the Company; # commission of any other act or acts which substantially impairs the reputation and standing of Company with its customers or the community at large; and # any act or circumstance constituting “cause”employment for termination under applicable statutory or common law.Cause.

The determination of the performance byAdministrator as to the existence of Cause will be conclusive on the Participant of his duties and responsibilities as an employee, officer and/or director of the Company; # commission of any other act or acts which substantially impairs the reputation and standing of Company with its customers or the community at large; and # any act or circumstance constituting “cause” for termination under applicable statutory or common law.Company.

Cause. For purposes of this Section 7,Agreement “Cause” shall be defined asmean # the occurrencewillful and continued failure by Participant substantially to perform his or her duties and obligations (other than any such failure resulting from his or her incapacity due to physical or mental illness), # Participant’s conviction or plea bargain of any onefelony or more of the following acts or events: # fraud, misappropriation, embezzlement, or other act of material dishonesty against the Company; # any act or acts by Participant with respect to Company which constitute a breach of Participant’s fiduciary duties or duties of honesty, good faith and loyalty (including derogatory statements regarding the Company, but excluding statements made in connection with any legal action filed against the Company); # any act by Participant which is intentionally damaging to the Company; # commission by Participant of a felony orgross misdemeanor involving moral turpitude;turpitude, fraud or misappropriation of funds or # a material breachthe willful engaging by Participant in misconduct which causes substantial injury to the Company or its affiliates, its employees or the employees of any provisionits affiliates or its clients or the clients of its affiliates, whether monetarily or otherwise. For purposes of this Agreement within his controlparagraph, no action or failure ofto act on Participant’s part shall be considered “willful” unless done or omitted to be done, by Participant to properlyin bad faith and diligently performwithout reasonable belief that his duties as an employee, officer and/or directorher action or omission was in the best interests of the Company, which violation is not remedied within three (3) days after notice from Company specifying such violation; # alcohol or drug abuse affecting in any material respect the performance by the Participant of his duties and responsibilities as an employee, officer and/or director of the Company; # commission of any other act or acts which substantially impairs the reputation and standing of Company with its customers or the community at large; and # any act or circumstance constituting “cause” for termination under applicable statutory or common law.Company.

Cause. For purposes of this Section 7, “Cause”Cause shall mean “Cause” as such term may be defined asin any employment, change in control or severance agreement between the occurrenceParticipant and the Company or any of any oneits Subsidiaries (the “Employment Agreement”), or, if there is no such Employment Agreement or more ofif no such term is defined therein, “Cause” shall mean: # the following acts or events: # fraud, misappropriation, embezzlement, or other act of material dishonesty against the Company; # any act or acts by ParticipantParticipant’s willful misconduct with respect to Company which constitute a breach of Participant’s fiduciary duties or duties of honesty, good faith and loyalty (including derogatory statements regarding the Company, but excluding statements made in connection with any legal action filed against the Company); # any act by Participant which is intentionally damagingregard to the Company;Company or any of its Subsidiaries; # commission bythe Participant ofis indicted for, convicted of, or pleads nolo contendere to, a felony orfelony, a misdemeanor involving moral turpitude;turpitude, or an intentional crime involving material dishonesty other than, in any case, vicarious liability; # the Participant’s conduct involving the use of illegal drugs in the workplace; # the Participant’s failure to attempt in good faith to follow a materiallawful directive of his or her supervisor within ten (10) days after written notice of such failure; and/or # the Participant’s breach by Participant of any provision of this Agreement within his controlagreement with the Company or failure ofany Subsidiary which continues beyond ten (10) days after written demand for substantial performance is delivered to the Participant to properly and diligently perform his duties as an employee, officer and/or directorby the Company (to the extent that, in the reasonable judgment of the Company, which violation is not remedied within three (3) days after notice from Company specifyingCommittee (or its designee), such violation; # alcohol or drug abuse affecting in any material respect the performancebreach can be cured by the Participant of his duties and responsibilities as an employee, officer and/or director of the Company; # commission of any other act or acts which substantially impairs the reputation and standing of Company with its customers or the community at large; and # any act or circumstance constituting “cause” for termination under applicable statutory or common law.Participant.
