All reasonable expenses of the Company, other than sales or brokerage commissions and fees and disbursements of counsel for, and other expenses of, the Investor, incurred in connection with registrations, filings or qualifications pursuant to Sections 2 and 3 hereof, including, without limitation, all registration, listing and qualifications fees, printers and accounting fees, and fees and disbursements of counsel for the Company, shall be paid by the Company.

All reasonable expenses of the Company,expenses, other than sales or brokerage commissions and fees and disbursements of counsel for, and other expenses of, the Investor,commissions, incurred in connection with registrations, filings or qualifications pursuant to Sections 2 and 3 hereof,3, including, without limitation, all registration, listing and qualifications fees, printers and accounting fees, and fees and disbursements of counsel for the Company, shall be paid by the Company.

All reasonable expenses of the Company, other than sales or brokerage commissions and fees and disbursements of counsel for, and other expenses of, the Investor, incurred in connection with registrations, filings or qualifications pursuant to Sections 2 and 3 hereof,Section 3, including, without limitation, all registration, listinglisting, and qualifications fees, printers and accounting fees, andthe fees and disbursements of counsel for the Company,Company shall be paidborne by the Company.

EXPENSES OF REGISTRATION. All reasonable expenses of the Company,expenses, other than sales or brokerage commissionsunderwriting discounts and fees and disbursements of counsel for, and other expenses of, the Investor,commissions, incurred in connection with registrations, filings or qualifications pursuant to Sections 2 and 3 hereof,3, including, without limitation, all registration, listing and qualifications fees, printers and accounting fees, and fees and disbursements of counsel for the Company,Company shall be paid by the Company. All reasonable expenses of the Company, other than sales or brokerage commissionsThe Company shall bear and fees and disbursements of counsel for, and otherpay all expenses of, the Investor, incurred in connection with registrations, filingsany registration, filing or qualificationsqualification of Registrable Securities with respect to the registrations pursuant to Sections 2 and 3 hereof, including, without limitation,this [Section 1.2] for each Investor, including (without limitation) all registration, listingfiling and qualificationsqualification fees, printers andprinter’s fees, accounting fees,fees and fees and disbursements of counsel for the Company, shall be paid bybut excluding any brokerage or underwriting fees, discounts and commissions relating to Registrable Securities and fees and disbursements of counsel for the Company.Investor.
