Payment of Expenses. In accordance with the terms of [Section 9.03] of the Credit Agreement, the Borrower agrees to reimburse the Administrative Agent for all reasonable fees, charges and disbursements of the Administrative Agent in connection with the preparation, execution and delivery of this Agreement, including all reasonable fees, charges and disbursements of counsel to the Administrative Agent (paid directly to such counsel if requested by the Administrative Agent).

Payment of Expenses. In accordance with the terms of [Section 9.12.03] of the Credit Agreement, the Borrower agrees to pay or reimburse the Administrative Agent for all of its reasonable fees, chargesout-of-pocket costs and disbursements of the Administrative Agentreasonable expenses incurred in connection with this Sixth Amendment, any other documents prepared in connection herewith and the preparation, execution and delivery of this Agreement, including alltransactions contemplated hereby, including, without limitation, the reasonable fees, chargesfees and disbursements of counsel to the Administrative Agent (paid directly to such counsel if requested by the Administrative Agent).Agent.

1.7Payment of Expenses. 4.7Payment of Expenses. In accordance with the terms of [Section 9.12.03] of the Credit Agreement, the Borrower agrees to pay or reimburse the Administrative Agent for all of its reasonable fees, chargesout-of-pocket costs and reasonable expenses incurred in connection with this Third Amendment, any other documents prepared in connection herewith and the transactions contemplated hereby, including, without limitation, the reasonable fees and disbursements of the Administrative Agent in connection with the preparation, execution and delivery of this Agreement, including all reasonable fees, charges and disbursements ofPaul Hastings LLP, as counsel to the Administrative Agent (paid directly to such counsel if requested by the Administrative Agent).Agent.

Costs and Expenses. In accordance withaddition to, and without in any way limiting, the termsobligations of Borrowers set forth in [Section 9.03]11.4] of the Credit Agreement, theeach Borrower absolutely and unconditionally agrees to reimburse thepay to Administrative Agent, on demand by Administrative Agent forat any time, whether or not all or any of the transactions contemplated by this Agreement are consummated: all reasonable fees, chargescosts and disbursementsexpenses incurred by Administrative Agent and any of theits directors, officers, employees or agents (including, without limitation, reasonable fees, costs and expenses incurred of any counsel to Administrative Agent), regardless of whether Administrative Agent or any such other Person is a prevailing party, in connection with # the preparation, execution andnegotiation, execution, delivery or enforcement of this Agreement, including all reasonable fees, chargesthe Credit Agreement, the other Loan Documents and disbursementsany agreements, documents or instruments contemplated hereby and thereby, and # any investigation, litigation or proceeding related to this Agreement, the Credit Agreement, or any other Loan Document or any act, omission, event or circumstance in any matter related to any of counsel to the Administrative Agent (paid directly to such counsel if requested by the Administrative Agent).foregoing.
