Disability. “Disability” means that because of a physical or medical impairment, Executive is unable, with or without reasonable accommodation, to perform the essential functions pertaining to Executive’s position with the Company for a period exceeding 4 months.
“Disability” means that becauseExecutive’s inability to fulfill Executive’s essential functions of a physical or medical impairment, Executive is unable,Executive’s position(s) with the Company Group, with or without reasonable accommodation, for ninety (90) consecutive days or 180 days in any 365-day period due to perform the essential functions pertaining to Executive’s position with the Company for a period exceeding 4 months.mental or physical illness or incapacity.
“Disability” means a condition such that becausethe Executive by reason of a physical or medical impairment, Executive is unable, with or without reasonable accommodation,mental disability becomes unable to perform his or her normal duties for more than one hundred eighty (180) days in the essential functions pertainingaggregate (excluding infrequent or temporary absence due to Executive’s position with the Company for a period exceeding 4 months.ordinary transitory illness) during any twelve-month period.
For the purposes of a physical or medical impairment,this Agreement, the term "disability" shall mean Executive is unable,physically or mentally incapacitated so as to render Executive incapable of performing the essentials of Executive's job, even with or without reasonable accommodation, to performas reasonably determined by the essential functions pertaining to Executive’s position with the Company for a period exceeding 4 months.Company, which determination shall be final and binding.

“Disability” shall mean the Executive’s inability, due to mental or physical incapacity, to perform the essential functions of a physical or medical impairment, Executive is unable,the Executive’s job, with or without reasonable accommodation, for 90 consecutive days or 180 days in any two-year period; provided, however, in the event that the Company temporarily replaces the Executive, or transfers the Executive's duties or responsibilities to another individual on account of the Executive's inability to perform such duties due to a mental or physical incapacity which is, or is reasonably expected to become, a Disability, then the essential functions pertaining to Executive’Executive's position withemployment shall not be deemed terminated by the Company and the Executive shall not be able to resign with Good Reason as a result thereof. Any question as to the existence of the Executive's Disability as to which the Executive and the Company cannot agree shall be determined in writing by a qualified independent physician mutually acceptable to the Executive and the Company. If the Executive and the Company cannot agree as to a qualified independent physician, each shall appoint such a physician and those two physicians shall select a third who shall make such determination in writing. The determination of Disability made in writing to the Company and the Executive shall be final and conclusive for a period exceeding 4 months.all purposes of this Agreement.

Determination of Executive’s physical or mental health shall be determined by Company after consultation with a medical expert appointed by mutual agreement between Company and Executive who has examined Executive. Executive hereby consents to such examination and consultation regarding Executive’s position with the Company for a period exceeding 4 months.health and ability to perform as aforesaid.
