Disabled or Disability. Permanent and total disability, as defined in Section 22(e)(3) of the Code. A Participant shall not be considered Disabled unless the Committee determines that the Disability arose before such Participant’s termination of employment or, in the case of a director or a non-employee Participant, before the termination of the director, consulting or advisor relationship between such Participant and the Company or an Affiliate.

Disability or Disabled. As to an Incentive Stock Option, a Disability within the meaning of Section 22(e)(3) of the Code. As to all other Awards, the Committee shall determine whether a Disability exists and such determination shall be conclusive.

Disabled. A Participant will be “Disabled” if he or she has become entitled to receive disability income benefits under the provisions of the Social Security Act.

(l) “Disabled” and the correlative term “Disability”

Disability or Disabled means permanent and total disability as defined in Section 22(e)(3) of the Code.

“Disabled” or “Disability” means a condition under which a Participant:

“Disability” means a Participant being considered “disabled” within the meaning of Section

A Participant will be deemed to have suffered a [[Unknown Identifier]] Disability if determined to be totally disabled by the Social Security Administration. In addition, the Participant will be deemed to have suffered a [[Unknown Identifier]] Disability if determined to be disabled in accordance with a disability insurance program maintained by the Company, provided that the definition of disability applied under such disability insurance program complies with the requirements of Code Section 409A and the regulations thereunder.
