Disability or Disabled. As to an Incentive Stock Option, a Disability within the meaning of Section 22(e)(3) of the Code. As to all other Awards, the Committee shall determine whether a Disability exists and such determination shall be conclusive.

Disability. A Participant has a “Disability” if he or she has been determined to be “Totally DisabledorPartially Disabled” in accordance with either of the Company’s group long-term disability or short-term disability plans.

DisabledorDisability” shall mean that a Participant is disabled due to sickness or injury which qualifies the Participant for disability payments under the Company’s long term disability plan. A Participant shall be considered totally and permanently disabled on the date the Participant qualifies for such long term disability payments.
