Disability of Optionee. If Optionee ceases to be a Service Provider as a result of his or her Disability, Optionee may exercise the Option to the extent the Option is vested on the date of exercise, but only within twelve (12) months from the date Optionee ceases to be a Service Provider (and in no event later than the expiration date of the term of this Option as set forth in the Grant Notice). To the extent that Optionee does not exercise this Option within the time specified herein, the Option shall terminate.

Disability of Optionee. If an Optionee ceases to be a Service Provider as a result of the Optionee’s Disability, the Optionee may exercise his or her Disability, Optionee may exerciseOption within six (6) months of termination, or such longer period of time as specified in the Option Agreement, to the extent the Option is vested on the date of exercise, but only within twelve (12) months from the date Optionee ceases to be a Service Provider (andtermination (but in no event later than the expiration date of the term of thissuch Option as set forth in the Grant Notice)Option Agreement, and in the case of an Incentive Stock Option, in no event later than the earlier of one (1) year after the date of Termination and the expiration of the term of the Option as set forth in the Option Agreement). ToIf, on the extent thatdate of termination, the Optionee is not vested as to his or her entire Option, the Shares covered by the unvested portion of the Option shall revert to the Plan. If, after termination, the Optionee does not exercise thishis or her Option within the time specified herein, the Option shall terminate.terminate, and the Shares covered by such Option shall revert to the Plan.

Disability of Optionee. If Optionee ceases to be aNotwithstanding the provisions of [Section 5] above, in the event of termination of Optionee’s Continuous Service Provider as a result of his or herOptionee’s Disability, Optionee may exercise the Option to the extent the Option is vested on the date of exercise,may, but only within twelve (12) months from the date Optionee ceases to be aof termination of Continuous Service Provider (and(but in no event later than the date of expiration date of the term of this Option as set forth in the Grant Notice).Notice of Grant), exercise this Option to the extent Optionee was entitled to exercise it at the Termination Date. To the extent that Optionee was not entitled to exercise this Option at the Termination Date, or if Optionee does not exercise thissuch Option (which Optionee was entitled to exercise) within the time specified herein, thethis Option shall terminate.

If Optionee ceases to be a Service Provider as a result(other than by reason of hisOptionee’s death or her Disability,Disability), Optionee may exercise this Option during the Option to the extent the Option is vested on the date of exercise, but only within twelve (12) months fromthree (3) month period immediately following the date Optionee ceases to be a Service Provider to the extent the Option was vested on such date (and in no event later than the expiration date of the term of this Option as set forth in the Grant Notice). To the extent that Optionee does not exercise this Option within the time specified herein, the Option shall terminate.

Disability of Optionee.Grantee. If Optioneean Grantee ceases to be a Service Provider as a result of the Grantee's Disability, the Grantee may exercise his or her Disability, Optionee may exerciseOption within such period of time as is specified in the Option Agreement, to the extent the Option is vested on the date of exercise, but only within twelve (12) months from the date Optionee ceases to be a Service Provider (andtermination (but in no event later than the expiration date of the term of thissuch Option as set forth in the Grant Notice)Option Agreement). Unless otherwise provided by the Administrator, on the date of termination for Disability, the unvested portion of the Option shall revert to the Plan as provided in [Section 3(c)]. If after termination for Disability, the Participant does not exercise thishis Option as to all of the vested Shares within the time specified herein,by the Award Agreement, the Option shall terminate.terminate and the remaining Shares covered by such Option shall revert to the Plan as provided in [Section 3(c)].

Disability of Optionee. If Optionee ceases to be aIn the event of termination of an Optionee’s Continuous Service ProviderStatus as a result of his or her Disability,disability (defined as a disability within the meaning of Section 22(e)(3) of the Code), such Optionee may exercise thean Option at any time within twelve (12) months following such termination to the extent the Option isOptionee was vested onin the Optioned Stock as of the date of exercise, but only within twelve (12) months from the date Optionee ceases to be a Service Provider (and in no event later than the expiration date of the term of this Option as set forth in the Grant Notice). To the extent that Optionee does not exercise this Option within the time specified herein, the Option shall terminate.such termination.

Termination upon Disability of Optionee.
