Projected Operating Budget. Furnish Agent, no later than forty-five (45) days after the beginning of each Borrower’s fiscal years commencing with fiscal year 2023, a month by month projected operating budget and cash flow of Borrowers on a Consolidated Basis for such fiscal year (including an income statement for each month and a balance sheet as at the end of the last month in each fiscal quarter), such projections to be accompanied by a certificate signed by the President, Treasurer, Chief Financial Officer, or equivalent officer of each Borrower to the effect that such projections have been prepared on the basis of sound financial planning practice consistent with past budgets and financial statements and that such officer has no reason to question the reasonableness of any material assumptions on which such projections were prepared.

Budget Variance Report. On or before Friday of each week commencing on January 3, 2020, the Borrowers shall deliver to the Agents a Budget Variance Report. As used herein “Budget Variance Report” means a weekly report provided by the Borrowers to the Agents, showing amount of Qualified Cash as of Saturday of each week and the actual receipts and disbursements for each line item compared to the Budget, as applicable, on a cumulative basis from the date hereof of until the fourth (4th) week after the date hereof and then on a rolling four (4) week basis at all times thereafter, noting therein all variances, on a line-item basis, from amounts set forth for such period in the Budget, and shall include or be accompanied by explanations for all material variances and certified by an Authorized Officer of the Parent.

Borrower Annual Budget. Borrower shall provide Lender with an annual budget, itemized by month, for the upcoming fiscal year.

Annual Budget Plan. As soon as available, but in any event within sixty (60) days of the end of each fiscal year, a copy of the detailed annual operating budget and cash flows or plan of the Company for the then fiscal year on a quarterly basis, in form and detail reasonably acceptable to the Agent and the Required Lenders, together with a summary of the material assumptions made in the preparation of such annual budget or plan;

The commitments and undertakings of the DIP Lenders hereunder are subject to the following conditions precedent: (i) entry of the Interim Order by the Bankruptcy Court in the Chapter 11 Cases in the form and substance attached hereto, (ii) delivery of a borrowing request in form and substance satisfactory to the DIP Lenders in their reasonable discretion, (iii) no Event of Default has occurred and no event or circumstance has occurred or exists that the DIP Lenders reasonably believe will result in an Event of Default, (iv) the DIP Lenders shall have received other closing documents reasonably requested by the DIP Lenders, and (v) all representations and warranties contained in the DIP Facility Documents shall be true and correct in all material respects as of the date of such loan.
