PAYMENT OF FACILITY FEES AND DUE DILIGENCE FEE. Borrower shall pay Lender the Domestic Facility Fee in the amount of $10,000.00 as amended hereof, the EXIM Facility Fee in the amount of $5,000.00, and the Due Diligence Fee in the amount of $600.00, plus all out-of-pocket expenses.

Purchaser was provided with a necessary and sufficient opportunity to conduct due diligence by the Execution Date, in regards to the business, legal affairs, financial affairs, tax affairs, and from other perspectives of the Target Company. The due diligence is completed in the form satisfied by the Purchaser.

The Seller has delivered an electronic copy of the Diligence File (as defined in the Pooling and Servicing Agreement) with respect to each Mortgage Loan to the [[Organization A:Organization]] by uploading such Diligence File to the Secure Data Room (as defined in the Pooling and Servicing Agreement); and

to the Objective Depth with diligence and reasonable dispatch, and without unnecessary delay.

“Future Funding Due Diligence Package” shall have the meaning set forth in [Exhibit XVI]

within sixty (60) days after the Closing Date, the Seller shall deliver or cause to be delivered an electronic copy of the Diligence File for each Mortgage Loan to the Depositor by uploading such Diligence File (including, if applicable, any additional documents that the Seller believes should be included to enable the Asset Representations Reviewer to perform an Asset Review on such Mortgage Loan; provided that such documents are clearly labeled and identified) to the Intralinks Site, each such Diligence File being organized and categorized in accordance with the electronic file structure reasonably requested by the Depositor;

promptly upon completion or such delivery of the Diligence Files, but in no event later than sixty (60) days after the Closing Date, the [[Organization A:Organization]] shall provide each of the [[Organization B:Organization]], the Master Servicer, the Special Servicers, the Certificate Administrator, the Trustee, the Custodian, the Directing Holder, the Asset Representations Reviewer and the Operating Advisor, to the addresses provided in the notice provision of the Pooling and Servicing Agreement, with a certification by an authorized officer of the [[Organization A:Organization]], substantially in the form of Exhibit E to this agreement, that the electronic copy of the Diligence File for each Mortgage Loan uploaded to the Intralinks Site consitutes all documents required under the definition of “Diligence File” and such Diligence Files are organized and categorized in accordance with the electronic file structure reasonably requested by the [[Organization B:Organization]];

Purchaser shall have completed it due diligence on the Assets and not terminated this Agreement pursuant to Section 7.1(c) hereof.

There shall not have been any material adverse change in the business, condition, assets, liabilities, operations or financial performance of [[Organization B:Organization]] since the date of this Agreement as determined by Cosmos in its discretion. Cosmos shall be satisfied in all respects with the results of its due diligence review of [[Organization B:Organization]]
