Development Reports; Updates. Each Party shall provide the JDC with # on at least a Calendar Quarter basis, unless otherwise agreed by the Parties, reports in reasonable detail regarding the status of Clinical Studies being conducted by it and any of its other Party Development Activities, and # additional notifications regarding key events relating to the Development of the Product as may be requested by the JDC from time to time.

Updates. Acadia shall update each Development Plan at least annually, which update shall be submitted to the JDC for review and comment, and to the JSC for review and approval. Once approved by the JSC, each updated Development Plan shall become effective and supersede the previous Development Plan as of the date of such approval or at such other time as decided by the JSC.

Updates. During the Term (at least on a ​ basis), the JPT shall review the Development Plan and prepare updates and amendments, as appropriate, to the then-current Development Plan, including budgets, and submit such updates and amendments to the CGB for review and approval. If the CGB determines that any pre-clinical studies or Clinical Trials not included in the Development Plan are required in order to obtain or maintain MAA Approval for a Product for the Initial Indication in one or more countries in the Licensee Territory, then the CGB shall review and approve an amendment to the Development Plan reflecting such additional studies, including associated budget. Such additional Development activities for the Initial Indication shall be either Licensee Territory Development Activities or Joint Development Activities and the costs of such additional studies shall be borne by the Parties as provided in Section 4.5(a).

Updates. Novos shall, from time to time and in any event no less than on an annual basis, update each Commercialization Plan and Commercialization Budget for the following year. Novos shall submit such updated Commercialization Plans and Commercialization Budgets to the JGC for review and approval at least two (2) weeks before the date of the fourth quarter meeting of the JGC, but in no event later than October 31 of each calendar year for the following calendar year. Within thirty (30) days following such submission, the JGC shall either approve the Commercialization Plan and Commercialization Budget prepared by Novos or approve a modified Commercialization Plan and Commercialization Budget. Any material changes to the Commercialization Plan and Commercialization Budget shall be mutually agreed to in writing by Novos and Evoke.

Development Plan Updates. The JDC shall review the Development Plan ​ for the purpose of considering appropriate amendments thereto, including revisions to existing Development activities and the addition of new Development activities. In addition, either Party, through its representatives on the JDC, may propose amendments to the Development Plan at any time. Any proposed amendment to the Development Plan shall be reviewed by the JDC. Any amendment to the Development Plan will not be binding on either Party until approved by the JDC ​ and upon such approval by the JDC ​, the updated Development Plan shall be deemed to be incorporated into this Agreement. With respect to any amendment to the Development Plan to add new Development activities (including any Development activities that are required to be conducted by a Regulatory Authority to support Regulatory Approval of a Licensed Product in a given jurisdiction) or modify any Development activities in a manner that would change the cost of such activities, such amendment shall include a corresponding amendment to the Budget for the Development Plan; ​.

Development Updates. Each Party shall keep the other Party reasonably informed, through the JSC, of the status, progress, and results of all Development activities for Product, both in and outside the Licensed Field, in the Territory. Each Party shall promptly respond to reasonable requests of the other Party for additional Information with respect to such other Party’s Development activities for Product, both in and outside the Licensed Field, in the Territory.

Updates. The Global Development Budget included in the updated GDP provided in accordance with [Section 3.5.3] will contain ​, in accordance with the requirements set forth in [Section 3.5.2].

Updates. Each Affected Person agrees that if any form or certification it previously delivered pursuant to this [Section 5.03(f) or (g)])] expires or becomes obsolete or inaccurate in any respect, it shall update such form or certification or promptly notify the Seller and the Administrative Agent in writing of its legal inability to do so.
