Development Milestones. Table 1b in [Section 8.3] is hereby deleted in its entirety and replaced with the following:

Development Milestones. Subject to the remainder of this Section 8.3, Licensee shall pay to Ovid the one-time, non-refundable, non-creditable payments set forth in the table below upon the achievement of the applicable milestone event (whether by or on behalf of Licensee or its Affiliates or Sublicensees or Ovid or its Affiliates or licensee(s) (other than Licensee)).

Development Milestones. In partial consideration of the rights granted by [[AstraZeneca:Organization]] to Licensee hereunder, Licensee shall pay to [[AstraZeneca:Organization]] the following non-refundable and non-creditable payments in accordance with [Section 4.2.4] (Invoicing and Payment) after providing determination of the occurrence of a development milestone event in accordance with [Section 4.2.3] of the first achievement or occurrence of each of the following development milestone events described in this [Section 4.2.1] (Development Milestones) by Licensee or any of its Affiliates or Sublicensees with respect to a Licensed Product, as the case may be (each such milestone event, a “Development Milestone Event,” and each such milestone payment, a “Development Milestone Payment”). For clarity, # each of the Development Milestone Payments set forth in this [Section 4.2.1] (Development Milestones) will be payable ​, # ​, and # no more than ​ shall be payable to [[AstraZeneca:Organization]] under this [Section 4.2.1].

Development Milestones. The following Development Milestone Payments will be paid after the achievement of the specified milestone event, and only once with respect to all Licensed Products upon the achievement of the corresponding Development milestone event as follows:

Development Milestones. Acer shall pay [[Sanofi:Organization]] each of the following non-refundable, non-creditable milestone payments within thirty (30) calendar days after the achievement of the corresponding Milestone Event with respect to each Licensed Product:

Development Milestones. Catalyst agrees to pay Mosaic upon the occurrence of each of the following milestones ​ achieved by Catalyst or its Affiliates (but not, for clarity, by any Sublicensees) with respect to each Product, on a Product-by-Product and Indication-by-Indication basis, in accordance with this Section 10.1, provided, that at the time any such development milestone is achieved, that Catalyst is responsible for the development or regulatory activity with respect to such Product triggering such milestone. ​.

Development Milestones. Subject to [Section 11.5(c)], Astellas shall pay to [[Cytokinetics:Organization]] the non-refundable, non-creditable payment set forth in the table below upon [ * ] achievement of each milestone event (whether by or on behalf of Astellas or its Affiliates or sublicensees, or by or on behalf of [[Cytokinetics:Organization]] or its Affiliates) in accordance with [Section 11.5(d)]:

Development Milestones. Subject to the remainder of this Section 8.3, Licensee shall pay to Ovid the one-time, non-refundable, non-creditable payments set forth in the table below upon the achievement of the applicable milestone event (whether by or on behalf of Licensee or its Affiliates or Sublicensees or Ovid or its Affiliates or licensee(s) (other than Licensee)).

In partial consideration for the amendment and restatement of the Prior Agreement and the rights and licenses granted to [[EPIZYME:Organization]] hereunder, [[EPIZYME:Organization]] shall make the non-creditable milestone payments to EISAI that are set forth below in accordance with [Section 6.3.2] upon the first occurrence of the milestone events set forth below.

Development Milestones. Subject to the remainder of this Section 6.3 (Milestone Payments), on a Cardiomyopathy Milestone Target-by-Cardiomyopathy Milestone Target basis, [[MyoKardia:Organization]] will make each of the one-time milestone payments set forth in Table 6.3.3 (“Development Milestone Payments”) for the first achievement of each development milestone event set forth in Table 6.3.3 (“Development Milestone”) by the first Product directed against such Cardiomyopathy Milestone Target to achieve such event, pursuant to and in the amounts set forth in column (a), (b) or (c), depending upon whether such Cardiomyopathy Milestone Target is an Initial Cardiomyopathy Milestone Target (and, in such case, whether such Cardiomyopathy Milestone Target is the first Initial Cardiomyopathy Milestone Target to achieve the applicable Development Milestone) or a Secondary Cardiomyopathy Milestone Target. [[MyoKardia:Organization]] will notify Fulcrum of the achievement of a Development Milestone by [[MyoKardia:Organization]], its Affiliates or its Licensees, in writing within ​ after such achievement. [[MyoKardia:Organization]] will pay Fulcrum the amount of the Development Milestone Payment corresponding to such Development Milestone within ​ following the receipt of a corresponding invoice from Fulcrum. For the avoidance of doubt, each Development Milestone Payment will be payable only once with respect to a Cardiomyopathy Milestone Target, on the first achievement of the Development Milestone by the applicable Product directed against such Cardiomyopathy Milestone Target (if at all), notwithstanding the number of times one or more Products directed against such Cardiomyopathy Milestone Target may achieve such Development Milestone. For the further avoidance of doubt, in no event will the aggregate Development Milestone Payments payable by [[MyoKardia:Organization]] under this [Section 6.3.3] (Development Milestones) exceed: # ​ with respect to the first achievement of each Development Milestone, collectively, by a Product directed against any Initial Cardiomyopathy Milestone Target; # except as set forth in the [foregoing clause (i)], on an Initial Cardiomyopathy Milestone Target-by-Initial Cardiomyopathy Milestone Target basis, ​ for Products directed against an Initial Cardiomyopathy Milestone Target; and # on a Secondary Cardiomyopathy Milestone Target-by-Secondary Cardiomyopathy Milestone
