Termination of Employment. Any portion of the Award that has not vested as of the day following the date of the Participant’s Termination for any reason other than Retirement, death or Disability shall be forfeited upon the Termination, and all Restricted Stock Units subject to the forfeited portion of the Award shall be cancelled and terminated without payment of consideration therefor, and the Participant shall cease to have any rights with respect to such forfeited Restricted Stock Units.

Termination of Employment. Executive’s employment pursuant to this Agreement shall terminate on the earliest to occur of the following:

Termination of Employment. Employee’s employment hereunder may be terminated by either the Bank or the Employee at any time and for any reason; provided that, unless otherwise provided herein, either party shall be required to give the other party at least 60 days advance written notice of any termination of the Employee’s employment. Upon termination of the Employee’s employment during the term of this Agreement, the Employee shall be entitled to the compensation and benefits described below and shall have no further rights to any compensation or any other benefits from the Bank or any of its affiliates.

Termination of Employment. The Employee’s last day of employment with the Company will be November 7, 2022 (“Termination Date”).

Determination of Termination of Employment. For purposes of this Agreement, Participant’s date of termination of employment shall mean the date on which Participant ceases active employment, and shall not be extended by any notice period, whether mandated or implied under local law. The Company shall have the sole discretion to determine when Participant is no longer actively employed for purposes of this Agreement without reference to any other agreement, written or oral, including Participant’s contract of employment.

Determination of Termination of Employment. For purposes of this Agreement, Participant’s date of termination of employment shall mean the date on which Participant ceases active employment, and shall not be extended by any notice period, whether mandated or implied under local law during which Participant is not actively employed or providing services (e.g. garden or similar leave) or during or for which Participant receives pay in lieu of notice or severance. Notwithstanding the foregoing, to the greatest extent permitted by applicable law, the Option shall not vest during any notice period, regardless of whether Participant continues active employment during such period, and the Option shall be cancelled on the date notice of termination is provided by Participant or the Company. The Company shall have the sole discretion to determine when Participant is no longer actively employed for purposes of this Agreement without reference to any other agreement, written or oral, including Participant’s contract of employment.

Termination of Employment. The at-will employment of Employee with the Company may be terminated, prior to the expiration of the term of this Agreement, in accordance with any of the following provisions:

Determination of Termination Date. For the purposes of this Option, Grantee’s Continuous Service Status will be considered terminated as of the date Grantee is no longer actively providing services to the Company or one of its Parents, Subsidiaries, or Affiliates (regardless of the reason for such termination and whether or not later found to be invalid or in breach of employment laws in the jurisdiction where Grantee is employed or the terms of Grantee’s employment agreement, if any). The Committee shall have the exclusive discretion to determine when Grantee is no longer actively providing services for the purposes of this Option (including whether Grantee may still be considered to be providing services while on a leave of absence, provided that the Grantee’s Continuous Service Status will not be considered terminated in the case of leave taken in accordance with Applicable Law).

Termination of Employment. This Agreement and Executive’s employment hereunder may be terminated by the Bank or Executive at any time and for any reason; provided that, unless otherwise provided herein, either party is required to give the other party at least 60 days’ advance written notice of any termination of Executive’s employment. On termination of this Agreement and Executive’s employment hereunder, Executive will be entitled to the compensation and benefits described in this Section 3, subject to any applicable “claw-back” or compensation recovery policy and will have no further rights to any compensation or any other benefits from the [[Bank:Organization]] Group.
