Determination of Target Awards. Each Participant’s Target Award shall be determined by the Committee in its sole discretion and each Target Award shall be set forth in writing.

For new hires or newly-eligible Participants (whether by transfer or promotion), the Target Award will be set within ninety (90) days of eligibility for the Plan.

Target Award Determination. The Administrator, in its sole discretion, shall establish a Target Award for each Participant. Each Participant’s Target Award shall be determined by the Administrator in its sole discretion, and each Target Award shall be set forth in writing.

Determination of Target Yield. The “Target Yield” for the initial Supplied Product in the current manufacturing equipment shall be ​. For any new manufacturing equipment, the Parties will agree on the Target Yield based on the yields for the validation batches for such new equipment. For any other Supplied Product(s) that is added to this Agreement, the “Target Yield” will be established using ​ standards at the time the Supplied Product is added to this Agreement.
