Designation of Beneficiary. In the event that any amount payable to the Executive as provided by this Agreement remains outstanding upon the death of the Executive, the amount due shall be payable to a beneficiary as designated by the Executive, in the same manner as set forth by this Agreement, or if no beneficiary is named, to the trustee of the Executive’s revocable living trust, and if none to the trustee of the Executive’s testamentary trust, and if none to the personal representative of the Executive’s estate.

DesignationAssignment by the Executive. This Agreement shall inure to the benefit of Beneficiary. Inand be enforceable by each the event thatExecutive’s personal or legal representatives, executors, administrators, successors, heirs, distributees, devisees, and legatees. If the Executive dies while any amount payable to the Executive as provided by this Agreement remains outstanding upon the death of the Executive, the amount due shallwould still be payable to him hereunder had he continued to live, all such amounts, unless otherwise provided herein, shall be paid in accordance with the terms of this Agreement to the Executive’s Beneficiary. If the Executive has not named a beneficiary as designated byBeneficiary, then such amounts shall be paid to the Executive, in the same manner as set forth by this Agreement,Executive’s devisee, legatee, or other designee, or if there is no beneficiary is named,such designee, to the trustee of the Executive’s revocable living trust, and if none to the trustee of the Executive’s testamentary trust, and if none to the personal representative of the Executive’s estate.

Designation of Beneficiary. InBeneficiaries. The Executive may designate any person to receive any benefits payable under the event that any amount payableAgreement upon the Executive’s death, and the designation may be changed from time to time by the Executive as provided by this Agreement remains outstanding upon the death offiling a new designation. Each designation will revoke all prior designations by the Executive, the amount due shall be payablein the form prescribed by the Administrator and shall be effective only when filed in writing with the Administrator during the Executive’s lifetime. If the Executive names someone other than the Executive’s spouse as a Beneficiary, the Administrator may, in its sole discretion, determine that spousal consent is required to be provided in a beneficiary asform designated by the Executive, inAdministrator, executed by the same manner as set forth by this Agreement,Executive’s spouse and returned to the Administrator. The Executive’s beneficiary designation shall be deemed automatically revoked if the Beneficiary predeceases the Executive or if no beneficiarythe Executive names a spouse as Beneficiary and the marriage is named, to the trustee of the Executive’s revocable living trust, and if none to the trustee of the Executive’s testamentary trust, and if none to the personal representative of the Executive’s estate.subsequently dissolved.
