A Participant shall designate his Beneficiary by completing a Beneficiary Designation Form, and returning it to the Committee or its designated agent, in accordance with the Committee’s rules and procedures, as in effect from time to time. A Participant shall have the right to change his Beneficiary by completing and submitting to the Committee (or its designated agent) a revised Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effect from time to time. Upon receipt by the Committee (or its designated agent) of a revised Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The Committee shall rely on the last Beneficiary Designation Form received by the Committee (or its designated agent) prior to the Participant’s death.

10.2Beneficiary Designation; Change of Beneficiary Designation. Upon receiptthe acceptance by the Committee (or its designated agent) of a revisednew Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The Committee shall be entitled to rely on the last Beneficiary Designation Form filed by the Participant and accepted by the Committee prior to his or her death. No designation or change in designation of a Beneficiary shall be effective until received by the Committee (oror its designated agent) prior toagent. In the Participant’s death.event a Participant becomes divorced or legally separated from his or her spouse, any Beneficiary Designation Form designating such spouse as a beneficiary shall automatically be null and void as of the date of such divorce or legal separation; provided, however, that the Participant may designate such spouse (or former spouse) as a beneficiary under a new Beneficiary Designation Form.

The Committee shall rely on the last Beneficiary Designation Form receivedby using forms and following procedures approved or accepted by the Committee (or its designated agent) prior to the Participant’s death.for that purpose.

"Beneficiary" means such person(s) as the Participant has designated. A Participant may change his/her Beneficiary designation at any time. All Beneficiary designations (including changes) shall designate his Beneficiarybe made in writing on such forms as the Committee shall prescribe, and shall become effective only when received and accepted by completingthe Committee; provided, however, that a Beneficiary Designation Form, and returning it to the Committee or its designated agent, in accordance with the Committee’s rules and procedures, as in effect from time to time. A Participant shall have the right to change his Beneficiary by completing and submitting to the Committee (or its designated agent)designation (including a revised Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effect from time to time. Upon receipt by the Committee (or its designated agent) of a revised Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The Committee shall rely on the last Beneficiary Designation Formchange) received by the Committee (or itsafter the designating Participant's death shall be disregarded. In the absence of a Beneficiary designation, or if the designated agent) priorBeneficiary is no longer living or in existence at the time of the Participant's death, all distributions payable from the Plan upon the Participant's death shall be paid to the Participant’Participant's death.estate.

Beneficiary Designation; Change. A Participantparticipant shall designate his or her Beneficiary by delivering to the Corporate Secretary’s Office a written statement or instructions in a form provided by the Company (the “Beneficiary Designation Form”). A participant shall have the right to change a Beneficiary by completing aand otherwise complying with the terms of the Beneficiary Designation Form,Form and returning it to the Committee or its designated agent, in accordance withCorporate Secretary’s Office of the Committee’Company’s rules and procedures, as in effect from time to time. A Participant shall have the right to change his Beneficiary by completing and submitting to the Committee (or its designated agent) a revisedNo Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effect from time to time. Upon receiptshall be valid unless accepted by the Committee (or its designated agent)Corporate Secretary’s Office of the Company. Upon the acceptance by the Corporate Secretary’s Office of the Company of a revisednew Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The CommitteeCorporate Secretary’s Office of the Company shall be entitled to rely on the last Beneficiary Designation Form receivedfiled by the Committee (or its designated agent)participant and accepted by the Corporate Secretary’s Office of the Company prior to the Participant’participant’s death.

ASection # Designation Procedure. Each Participant shallmay designate one beneficiary or several beneficiaries (such beneficiary or beneficiaries of a Participant herein referred to as the Participant’s “Beneficiaries”) to receive any balance, or portion thereof, of his Beneficiary by completingor her Accounts which may be payable under the Plan upon his or her death. To be effective, each designation must be in writing on a Beneficiary Designation Form, and returning it to the Committee or its designated agent, in accordance with the Committee’s rules and procedures, as in effect from time to time. A Participant shall have the right to change his Beneficiary by completing and submitting to the Committee (or its designated agent) a revised Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effect from time to time. Upon receiptform provided by the Committee (or its designated agent) of a revised Beneficiary Designation Form, all Beneficiary designations previously filed shalland must be deemed canceled. The Committee shall rely on the last Beneficiary Designation Form receivedsigned by the Participant and filed with the Committee (or its designated agent) prior to the Participant’s death. Each Participant may name one or more primary Beneficiaries and one or more contingent Beneficiaries; provided that if a Participant names more than one Beneficiary, the Participant shall designate the percentage payable to each. A Participant may from time to time revoke or change his or her Beneficiaries designation without the consent of any Beneficiary by filing a new designation with the Committee, and each change will revoke all prior designations of Beneficiaries. The last such designation of Beneficiaries received by the Committee shall be controlling; provided, however, that no designation, or change or revocation thereof, shall be effective unless received by the Committee prior to the Participant’s death, and in no event shall it be effective as of a date prior to such receipt.

A Participant shallmay designate his Beneficiary by completingthe Beneficiary, in writing, in a Beneficiary Designation Form, and returning itform acceptable to the Committee before the Participant's death. A Participant may revoke a prior designation of Beneficiary and may also designate a new Beneficiary without the consent of the previously designated Beneficiary, provided that such revocation and new designation (if any) are in writing, in a form acceptable to the Committee, and filed with the Committee before the Participant's death. If the Participant does not designate a Beneficiary, or itsif no designated agent,Beneficiary survives the Participant, any amount not distributed to the Participant during the Participant's life shall be paid to the Participant's estate in a lump sum in accordance with the Committee’s rules and procedures, as in effect from time to time. A Participant shall have the right to change his Beneficiary by completing and submitting to the Committee (or its designated agent) a revised Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effect from time to time. Upon receipt by the Committee (or its designated agent) of a revised Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The Committee shall rely on the last Beneficiary Designation Form received by the Committee (or its designated agent) prior to the Participant’s death.this [subsection 8.3].

ADesignation of Beneficiary. Each Participant shallmay designate his Beneficiarya beneficiary or beneficiaries (which beneficiary may be an entity other than a natural person) to receive any payments that may be made after the Participant's death. Such designation may be changed or canceled at any time without the consent of any such beneficiary. Any such designation, change or cancellation must be made on a form or in a manner approved by completing a Beneficiary Designation Form, and returning itor acceptable to the Committee or its designated agent, in accordance with the Committee’s rules and procedures, as in effect from time to time. A Participant shall have the right to change his Beneficiary by completing and submitting to the Committee (or its designated agent) a revised Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effect from time to time. Upon receipt by the Committee (or its designated agent) of a revised Beneficiary Designation Form, all Beneficiary designations previously filed shallnot be deemed canceled. The Committee shall rely on the last Beneficiary Designation Formeffective until received by the Committee (or itsCommittee. If no beneficiary has been named, or the designated agent) priorbeneficiary or beneficiaries shall have predeceased the Participant, the beneficiary shall be the Participant's spouse or, if no spouse survives the Participant, the Participant's estate. If a Participant designates more than one beneficiary, the payment shall be made to such beneficiaries in equal shares, unless the Participant’s death.Participant has designated otherwise.
