If any action is to be taken or given on or by a particular calendar day, and such calendar day is not a Business Day, then such action may be deferred until the next Business Day. The words “Sellers have provided” or words of similar import with respect to any item provided or made available by Seller to Buyer shall mean posted at least one (1) Business Day prior to the date of this Agreement in the Data Room. Any reference to an action to be taken by Sellers shall mean all Sellers acting together and any covenant or obligation of Sellers shall be applicable to each Seller individually.
