Severance Benefits. In the event that Employee’s employment is terminated without Cause by the Company or is terminated by Employee with Good Reason, Employee shall receive the following as his sole and exclusive severance benefits (collectively, the “Severance Benefits”):

In the event that Employee’s employment is terminated without Cause by the Company at any time for Cause, or is terminated by Employee withterminates his employment without Good Reason, or the parties mutually terminate their employment relationship, Employee shall receivewill not be entitled to any Severance Benefits, pay in lieu of notice, or any other severance, compensation, benefits, equity, acceleration, or any other amounts, with the following as his sole and exclusive severance benefits (collectively, the “Severance Benefits”): exception of any benefit to which Employee has a vested right under a written benefit plan.
