Description of Services. Constellation hereby retains Consultant to perform the services specified in one or more attachments to this Agreement executed by the Parties (each an “Attachment”), and to perform all other obligations set forth in this Agreement (collectively, the “Services”). Consultant agrees that the Services shall be performed solely by [[Person A:Person]] (the “Senior Advisor”), at such times and locations as may be mutually agreed, from time to time as requested by Constellation, unless otherwise agreed in writing between the Parties. Consultant agrees to devote its best efforts to perform the Services promptly and diligently, in compliance with all applicable laws and regulations, including laws and regulations regarding the promotion and marketing of pharmaceutical products. Consultant shall also comply with all rules, procedures and standards promulgated from time to time by Constellation with regard to Consultant’s access to and use of Constellation’s property, information, equipment and facilities. Consultant shall not have any right to bind the Company or commit the Company to any legal obligation whatsoever, or to hire or retain other parties at the Company’s expense, without the Company’s prior written approval.

Description of Services. During the term of this agreement, Advisory will provide to Asset Management the services (the “Asset Management Services”) described on [Schedule A]-1 attached hereto (as the same may be amended from time to time, “[Schedule A]-1”). During the term of this agreement, Asset Management will provide to Advisory the services (the “Advisory Services”, and together with the Asset Management Services, the “Services”) described on [Schedule A]-2 attached hereto (as the same may be amended from time to time, “[Schedule A]-2”). Any entity receiving Services hereunder shall be referred to as a “Recipient” and any entity providing Services hereunder shall be referred to as a “Provider” as applicable. Additionally, Advisory will sublet certain office space to Asset Management as set forth on [Schedule A]-3 attached hereto. Each of [Schedule A]-1, [Schedule A]-2 and [Schedule A]-3 may be amended as set forth in Section 6.5 below.

Description of Services. Voyager hereby retains Consultant as a consultant to Voyager and Consultant hereby agrees to use his best efforts to provide advice and assistance to Voyager in the area of Consultant’s expertise from time to time as requested by Voyager (the “Services”). In particular, the Services shall include any specific activities described on the attached Accounting of Services Form attached hereto as [Exhibit A], as well as a reasonable amount of additional advisory services to Voyager’s personnel or designees by telephonic means, or in the form of reports and summaries, and such additional activities agreed to by the parties from time to time. Any changes to the Services (and any related compensation adjustments) must be agreed to in writing between Consultant and Voyager prior to implementation of the changes.

Description of Services. Subject to the terms and conditions of this Agreement, AgenTus or its designee hereby retains Consultant to perform for AgenTus and/or potentially its Affiliates (as hereinafter defined) the services specified in one or more attachments (the “Attachment”) to this Agreement executed by the Parties (the “Services”). Consultant shall perform the Services promptly and in compliance with the provisions of this Agreement and all applicable laws, rules and regulations, including if applicable, laws and regulations administered by the U.S. Food and Drug Administration (“FDA”) regarding the promotion and marketing of pharmaceutical products. Consultant shall ensure that the Services are performed promptly and diligently.

Consultant will act as a consultant to [[Genprex:Organization]] with respect to such matters and projects as are mutually agreed from time to time by and between Consultant and [[Genprex:Organization]], including without limitation those services described on Exhibit A hereto (collectively, “Services”).

Description. The interior finish work of the Premises as more particularly described in the Final TI Construction Documents shall constitute and be referred to herein as the “Tenant Improvements”. IT IS ACKNOWLEDGED BY ALL PARTIES THAT THE NATURE OF THIS PROJECT REQUIRES A VERY HIGH DEGREE OF COOPERATION AND COORDINATION BETWEEN LANDLORD AND TENANT, AND THEIR RESPECTIVE DESIGN PROFESSIONALS. ALL PROCESSES AS DESCRIBED HEREIN ARE INTENDED TO FOSTER THE HIGHEST DEGREE OF COOPERATION AND COORDINATION BETWEEN LANDLORD AND TENANT, AND THEIR RESPECTIVE DESIGN PROFESSIONALS. Landlord and Tenant shall use expeditious, diligent, good faith, commercially reasonable efforts to cause Tenant’s Design Professional to coordinate with Landlord’s Construction Representative and Tenant’s Construction Representative, to facilitate the efficient and timely preparation and approval of the Proposed TI Design Development Plans and Specifications on or before the respective date or dates set forth herein or in the Preliminary Project Milestone Schedule.
