Security Deposits. All security deposits of Tenants, whether held in cash or any other form, # shall be held in compliance with all Legal Requirements, # shall be held in a separate account than ’s Operating Account and # shall not be commingled with any other funds of . During the continuance of an Event of Default, shall, upon ’s request, if permitted by applicable Legal Requirements, cause all such security deposits (and any interest theretofore earned thereon) to be paid over to , to be held (in a separate Account) subject to the terms of the Leases until no Event of Default is continuing. Any bond or other instrument which is permitted to hold in lieu of cash security deposits under any applicable Legal Requirements # shall be maintained in full force and effect in the full amount of such deposits unless replaced by cash deposits as herein above described, # shall be issued by an institution reasonably satisfactory to , # shall, if permitted pursuant to any Legal Requirements, name as payee or mortgagee thereunder (or at ’s option, be fully assignable to ), and # shall in all respects comply with any applicable Legal Requirements and otherwise be satisfactory to . shall, upon request, provide with evidence satisfactory to of ’s compliance with the foregoing.
Escrow Deposits. All escrow deposits and payments required to be escrowed with Mortgagee pursuant to each Mortgage Loan are in the possession, or under the control, of the Seller or its servicer, and there are no deficiencies (subject to any applicable grace or cure periods) in connection therewith, and all such escrows and deposits (or the right thereto) that are required to be escrowed with Mortgagee under the related Loan Documents are being conveyed by the Seller to Depositor or its servicer.
Tenant Deposits. All tenant and licensee security deposits collected and not applied by (and interest thereon if required by Law or contract) shall be transferred or credited to at Closing. As of the Closing, shall assume ’s obligations related to tenant and licensee security deposits, but only to the extent they are credited or transferred to . Any and all deposits, bonuses or similar payments by any licensees under the License Agreements or any vendors under the Service Contracts shall be retained by and not prorated or credited to . In the event the security deposit shall have been deposited with in a form other than cash (e.g., letter of credit), shall satisfy its obligations hereunder with respect to such security deposit by delivering to Escrow Agent, to be held in trust for the benefit of , an assignment of such security deposit to with written instructions to the issuer of such deposit to transfer the same to , and appropriate instruments of transfer or assignment.
Security Deposits. All existing security deposits for utilities such as telephone, water, electric, etc. will remain the property of Sellers, to be refunded to Sellers by the respective utility companies in accordance with their policies. Purchaser will make such new deposits as said companies may require. Sellers will be responsible for payment of utility charges up to closing date. Purchaser will be responsible for all such charges accruing after closing date.
The Tenant shall pay the sum of $250000 (the “Security Deposit”) to the Landlord as a security deposit at the time this Lease is signed by the parties.
DEPOSITS TO THE TRUST. The Company shall be responsible for the payment of benefits provided under the Plan. At its discretion, the Company may establish one or more trusts for the purpose of assisting in the payment of such benefits. Although such a trust may be irrevocable, its assets shall be held for payment of all of the Company’s general creditors in the event of insolvency. To the extent any benefits provided under the Plan are paid from any such trust, the Company shall have no further obligation to pay them. If not paid from the trust, such benefits shall remain the obligation of the Company.
Deposits to Revenue Account. The Borrower (or, with respect to amounts transferred from another Project Account, the Lender) shall cause the following amounts to be deposited in, or credited to, the Revenue Account directly or, if received by the Borrower, as soon as practicable (but no more than two (2) Business Days) after receipt:
Deposits to Operating Account. Funds shall be deposited into the Operating Account pursuant to priority first and eighth of Section 4.2(c) of this Agreement and otherwise in accordance with the terms hereof.
Deposits to Restricted Payments Account. Funds shall be transferred to the Restricted Payments Account pursuant to priority tenth of Section 4.2(c) and otherwise in accordance with the terms hereof and the terms of the other Financing Documents.
Liens and deposits securing obligations under Swap Agreements entered to hedge or mitigate commercial risk and not for speculative purposes;
Liens # on earnest money deposits made in cash by a Borrower or any of its Subsidiaries in connection with any letter of intent or purchase agreement in connection with a Permitted Acquisition or other Investment permitted under this Agreement or # on amounts deposited as "security deposits" (or their equivalent) in the ordinary course of business in connection with actions or transactions not prohibited by this Agreement;
for any interest rate calculation with respect to a Base Rate Loan on any date, the rate per annum equal to the LIBOR Rate, at or about 11:00 a.m. (London time) determined two (2) Business Days prior to such date for Dollar deposits being delivered in the London interbank market for deposits in Dollars with a term of one (1) month commencing that day;
A duly executed and valid assignment of the Leases and all security deposits required to be held pursuant to the Leases, duly executed and acknowledged, assigning to Buyer all of Seller's interest in the Leases and such security deposits, together with the executed Leases (which Seller and Manager shall leave at the Project for Buyer) and an updated, true, correct and complete version of the Lease Schedule.
Utilities. shall take all steps necessary to effectuate the transfer of all utilities to its name as of the Closing Date, and where necessary, post deposits with the utility companies. shall ensure that all utility meters are read as of the Closing Date. shall be entitled to recover any and all deposits held by any utility company as of the Closing Date.
