The Company shall cooperate with the Investor to facilitate the prompt preparation and delivery of the Registrable Securities to be offered pursuant to the Registration Statement and enable such Registrable Securities to be in such denominations or amounts, as the case may be, as the Investor may reasonably request.

The Company shall cooperate with the Investor to facilitate the prompttimely preparation and delivery of certificates (not bearing any restrictive legend) representing the Registrable Securities to be offered pursuant to the Registration Statementany registration statement and enable such Registrable Securitiescertificates to be in such denominations or amounts, as the case may be,amounts as the Investor may reasonably request and registered in such names as the Investor may request.

The Company shall cooperate with the InvestorInvestors who hold Registrable Securities being offered and, to the extent applicable, facilitate the prompttimely preparation and delivery of certificates (not bearing any restrictive legend if such shares are sold pursuant to a Registration Statement to a person who is not an affiliate of the Company) representing the Registrable Securities to be offered pursuant to thea Registration Statement and enable such Registrable Securitiescertificates to be in such denominations or amounts, as the case may be, as the Investor may reasonably request.

The Company shall cooperate with the Investor to facilitate the prompttimely preparation and delivery of the Registrable Securities (not bearing any restrictive legend) either by DWAC, DRS, or in certificated form if DWAC or DRS is unavailable, to be offered pursuant to the Registration Statementany registration statement and enable such Registrable Securities to be in such denominations or amounts, as the case may be,amounts as the Investor may reasonably request and registered in such names as the Investor may request.

The Company shallInvestor, by its acceptance of the Registrable Securities, agrees to cooperate with the Investor to facilitateCompany as reasonably requested by the promptCompany in connection with the preparation and deliveryfiling of any Registration Statement hereunder, unless the Investor has notified the Company in writing of an election to exclude all of the Investor's Registrable Securities to be offered pursuant to thefrom such Registration Statement and enable such Registrable Securities to be in such denominations or amounts, as the case may be, as the Investor may reasonably request.Statement.

Each Investor, by such Investor’s acceptance of the Registrable Securities, agrees to cooperate with the Investor to facilitateCompany as reasonably requested by the promptCompany in connection with the preparation and deliveryfiling of any Registration Statement hereunder, unless such Investor has notified the Company in writing (which may be by email) of such Investor’s election to exclude all of such Investor’s Registrable Securities to be offered pursuant to thefrom such Registration Statement and enable such Registrable Securities to be in such denominations or amounts, as the case may be, as the Investor may reasonably request.Statement.

The Company shall cooperate withnotify the Investor in writing of the information the Company reasonably requires from the Investor in connection with any Registration Statement hereunder. The Investor shall as soon as practicable furnish to facilitate the prompt preparationCompany such information regarding itself, the Registrable Securities held by it and deliverythe intended method of disposition of the Registrable Securities held by it as shall be reasonably required to be offered pursuant toeffect the Registration Statement and enableregistration of such Registrable Securities to beand shall execute such documents in connection with such denominations or amounts,registration as the case may be, as the InvestorCompany may reasonably request.
