Delivery; Risk of Loss. West will deliver the Product within plus or minus five (+/-5) days of the date of delivery set forth in the applicable purchase order. Unless otherwise agreed in the applicable purchase order, all sales are EXW (INCOTERM 2020) point of manufacture. Title to the Product will pass to Customer upon Customer’s designated common carrier taking possession of the shipment. Delivery of ten percent (10%) more or less than the quantity of the Product specified will constitute fulfillment of the purchase order, and in each case the difference will be paid for or allowed at the current price. Customer and West may agree to allow West to make delivery in installments, which will be separately invoiced at the time of shipment and paid for by Customer within thirty (30) days of invoice date, without regard to subsequent deliveries.

Title and Risk of Loss. Unless otherwise mutually agreed to in advance in writing, as between the Parties and for purposes of this Agreement, at no time during the Term in Sunovion’s fulfillment of the Co-Promotion Activities shall Sunovion or any of its Affiliates or subcontractors have title to the Product (or any samples thereof). Risk of loss of Product (including samples thereof) shall be with Urovant at all times.

Delivery; Title and Risk of Loss. Delivery shall be made following processing, roasting, sorting and packaging and shall be FCA (Free Carrier) the Seller’s processing facility (owned or contracted by Seller) – Incoterms 2010. Seller will generate invoices and title will pass from Seller to Buyer when Seller delivers the Macadamia Kernel for shipment as specified above (the “Delivery Point”), subject to Buyer’s right to inspect and reject the Macadamia Kernel delivered. If Seller desires to ship less than a full shipping container, Seller will pay any additional freight costs incurred for shipment to the West Coast of the United States, unless Buyer agrees to pay some or all of this cost in advance. Seller shall provide Buyer with ​ days’ advance notice of the anticipated date of delivery (each, a “Delivery Date”). Buyer shall be responsible for arranging carriage of the Macadamia Kernel and making contracts for insurance for the shipment of the Macadamia Kernel and providing Seller with shipper, loading berth and departure date.

Transfer of title will transfer to Company upon delivery to the carrier. Company shall procure, at its expense, insurance, covering damage or loss to Bulk Drug Product during transport as from delivery.

Delivery; Risk of Loss. Delivery of Material from Supplier to Verrica shall take place on the delivery date set forth in the applicable Purchase Order. Shipment terms shall be FCA (Incoterms 2010) from the location in China specified in the applicable Purchase Order (the “Place of Delivery”). Subject to any specific packaging requirements set forth on Exhibit A, Supplier will prepare shipments in accordance with applicable industry standards for bills of lading, packing slips, hazmat declarations (if applicable) and commercial invoices. Title and risk of loss shall pass upon delivery of goods to Verrica’s designated carrier at the Place of Delivery; provided however that Supplier shall be responsible for export clearance and carry all risk associated with clearing the Material through Chinese customs. If Verrica or its agent requests, Supplier agrees to travel to the relevant Chinese customs office at its own expenses in order to assist in obtaining clearance for shipment. For the avoidance of doubt, if the export clearance of the Material cannot be completed in a timely manner due to the reason of Supplier (or its subcontractors), the Supplier shall bear all the fees and expenses incurred thereby (if any).

Risk of loss to Final Product shipped under any Order passes to Customer upon receipt by Customer’s carrier at the Facility. Supplier will inform Customer when the Products are ready for dispatch. If delivery date is reached and Customer does not pick up the Products within ​ after having a confirmation from Supplier that Products are ready for shipment, Supplier has a right to organize the delivery and ship the Products to Customer. Customer shall reimburse all expenses incurred by Supplier for such shipment.

Delivery will be Ex Works Supplier's dock located in Oakdale, MN (Incoterms, 2010). Risk of loss and title to Products will pass to Buyer upon delivery to Buyer or Buyer's designated carrier at Supplier's dock.
