All shipments shall be delivered DAP in accordance with the version of Incoterms in effect as of the date of Buyer’s Order, unless otherwise agreed to by the parties in writing. Seller shall bear risk of loss or damage to Goods during transit. Title and risk of loss passes to Buyer upon delivery of the Goods at the Delivery Point. For the avoidance of any doubt, under no circumstance shall Buyer be the importer of record for any shipment. Delivery shall not be deemed complete until the Goods have been actually received by Buyer at the Delivery Point. Unauthorised advance shipments and shipments of excess quantities may be returned at Buyer's sole option and Seller’s sole risk and expense

Designated Point of Contact. Staffing 360 and [[Organization F:Organization]] shall each name a point of contact who shall be responsible for the day to day implementation of this Agreement, including attempted resolution of any issues that may arise during the performance of any Party’s obligations hereunder. From the date hereof until further written notice to the other Party, the representative of Staffing 360 shall be Alicia Barker, and the representative of [[Organization F:Organization]] shall be [[Person A:Person]]. Either Party may designate a different person to act as the representative with respect to any of the Transition Services upon prior written notice (with e-mail being sufficient) to the other Party. The contact information for each representative is set forth below:

Weighted Delivery Point Fee. With respect to any Day, the sum of # the product of the Delivery Point Fee applicable to Fresh Water Delivery Points in West Virginia on such Day multiplied by 0.64 plus # the product of the Delivery Point Fee applicable to Fresh Water Delivery Points outside West Virginia on such Day multiplied by 0.36.

Plant Delivery Point. Each point at which Processor redelivers Residue Gas from the Processing Plant to or for the account of customers, including the Delivery Points.

Delivery Point. Each point identified in Exhibit A at which Residue Gas allocated to Producer is delivered to a Downstream Pipeline by Processor, and any additional delivery points that, from time to time after the Effective Date, are added at the request of Producer (at Producer’s expense) to permit delivery to Downstream Pipelines.

Delivery Point Fee. As defined in Section 7.1(a)(i).

Plant Products Delivery Point. Section # Nominations. Scheduling of receipts and deliveries of gas between the Receipt Point and Delivery Points shall be in accordance with Processor’s reasonable nomination and scheduling procedures and the nomination and scheduling procedures and imbalance tolerance levels of the downstream transporters. No later than two (2) Business Days prior to the end of each Month, Producer shall notify Processor of the quantity of gas in MMBtu Producer expects to make available and deliver at the Receipt Points and receive at the Delivery Points each Day of the following Month, including identification of each such Receipt Point and Delivery Point and

Delivery: Borrower Product shall be delivered by pipeline to Aemetis Services’ agreed Delivery Point at AAFK. Borrower shall pay for conveyance of biogas to Aemetis Services through pipeline.
