Promotional Materials. Betta will be responsible for the creation, preparation, production, reproduction and filing with the applicable Regulatory Authorities, of relevant written sales, promotion and advertising materials relating to Licensed Products (“Promotional Materials”) for use in the Territory. All such Promotional Materials will be # compliant with Applicable Law, and # if applicable, consistent in all material respects with the Global Branding Strategy except in relation to the Permissible Deviations. Betta will submit representative samples of its Promotional Materials to [[Agenus:Organization]] for review and comment and will consider [[Agenus:Organization]]’s comments ​; provided, however, that [[Agenus:Organization]] will have the right to require Betta to remove from any Promotional Materials any content that [[Agenus:Organization]] considers is not consistent in all material respects with the Global Branding Strategy and are not Permissible Deviations.

Raw Materials. [[Lonza:Organization]] shall procure all required Raw Materials as well as consumables other than those Raw Materials that are Customer Materials. Customer shall be responsible for payment for all consumables and Raw Materials ordered or irrevocably committed to be procured by [[Lonza:Organization]] hereunder. Upon cancellation of any Batch or termination of the Agreement, all unused Raw Materials shall be paid for by Customer within ​ days of invoice and at Customer’s option will either be # held by [[Lonza:Organization]] for future use for the production of Product, # delivered to Customer, or # disposed of by [[Lonza:Organization]].

Promotional Materials. Eversana shall be responsible for managing and supervising the Sales Forces’ promotion of the Product in the Territory in accordance with the Commercialization Plan. Eversana shall be responsible for designing and producing promotional, marketing and educational materials (in any form or medium), such as printed brochures, videos, and other materials for use by Sales Force representatives, distributors or medical providers or in advertisements or web sites ("Promotional Materials"). Eversana shall provide Evoke with copies of all Promotional Materials in a timely manner, for Evoke to ensure medical, legal and regulatory review and approval. Evoke is solely responsible for ensuring any and all Promotional Materials are reviewed and approved by appropriate medical, legal and regulatory personnel to ensure compliance with Applicable Laws. No Promotional Materials will be distributed without prior written consent by Evoke.

Definitions: As used in this Lease, the following terms have the following meanings:

Hazardous Materials. There has been no storage, generation, transportation, use, handling, treatment, Release or threat of Release of Hazardous Materials by, relating to or caused by the Company or any of its subsidiaries (or, to the knowledge of the Company and its subsidiaries, any other entity (including any predecessor) for whose acts or omissions the Company or any of its subsidiaries is or could reasonably be expected to be liable) at, on, under or from any property or facility now or previously owned, operated or leased by the Company or any of its subsidiaries, or at, on, under or from any other property or facility, in violation of any Environmental Laws or in a manner or amount or to a location that could reasonably be expected to result in any liability under any Environmental Law, except for any violation or liability which would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect. “Hazardous Materials” means any material, chemical, substance, waste, pollutant, contaminant, compound, mixture, or constituent thereof, in any form or amount, including petroleum (including crude oil or any fraction thereof) and petroleum products, natural gas liquids, asbestos and asbestos containing materials, naturally occurring radioactive materials, brine, and drilling mud, regulated or which can give rise to liability under any Environmental Law. “Release” means any spilling, leaking, seepage, pumping, pouring, emitting, emptying, discharging, injecting, escaping, leaching, dumping, disposing, depositing, dispersing, or migrating in, into or through the environment, or in, into from or through any building or structure.

Other Materials. On each date on which the Company is required to deliver a certificate pursuant to Section 7(m), the Company shall have furnished to Cowen such appropriate further information, certificates and documents as Cowen may have reasonably requested. All such opinions, certificates, letters and other documents shall have been in compliance with the provisions hereof. The Company will furnish Cowen with such conformed copies of such opinions, certificates, letters and other documents as Cowen shall have reasonably requested.

Raw Materials. With respect to the Raw Materials, ​. The Parties shall collaborate in the selection of the vendors of the Raw Materials. All such vendors shall be approved in writing by Client before supplying SBL with Raw Materials for Product.

Client Materials. With respect to the Client Materials, which shall be supplied by Client to SBL ​ during SBL’s performance the Services ​, SBL shall submit an invoice to Client in an amount as set forth in Section 9.1 upon SBL’s completion of such the applicable stage of the Services or upon SBL’s Release of a Batch of Product, as applicable.

Marketing Materials. [[EPIZYME:Organization]] hereby grants to EISAI an exclusive right and license, with the right to grant sublicenses (subject to [Section 5.1.2]), solely in the EISAI Territory, to reproduce, distribute, display, use, modify and exploit, directly or indirectly, all promotional materials used by [[EPIZYME:Organization]] in the promotion of Licensed Products in the [[EPIZYME:Organization]] Territory solely for purposes of exercising the rights and licenses granted in [Section 5.1.1(a)]; provided that: # neither EISAI nor any of its Affiliates or Sublicensees shall have any right or license to reproduce, distribute, display, use, modify or exploit any corporate name or logo of [[EPIZYME:Organization]] or its Affiliates on such materials; # EISAI shall solely bear all costs and expenses incurred in connection with exercising its rights under such license; and # EISAI shall be solely responsible for the compliance of all such promotional materials and their use by or on behalf of EISAI with Laws in the EISAI Territory.

Other Materials. On each date on which the Partnership is required to deliver a certificate pursuant to Section 7(l), the Partnership shall have furnished to the Agent such appropriate further information, certificates and documents as the Agent may reasonably request. All such opinions, certificates, letters and other documents will be in compliance with the provisions hereof. The Partnership will furnish the Agent with such conformed copies of such opinions, certificates, letters and other documents as the Agent shall reasonably request.
