Hazardous Materials. Client warrants to [[CoreRx:Organization]] that no specific safe handling instructions are applicable to any Client-supplied materials, except as disclosed to [[CoreRx:Organization]] in writing by the Client in sufficient time for review and training by [[CoreRx:Organization]] prior to delivery. Client will provide safety and potency ratings for the active pharmaceutical ingredients (API) and [[CoreRx:Organization]] assumes the materials have been assigned a level ​ (or lower) SafeBridge or equivalent safety rating. Rating shall be provided by SafeBridge or an equivalent certified consultant. [[CoreRx:Organization]] assumes no liability for Client’s compound(s).

Other Materials. On each date on which the Company is required to deliver a certificate pursuant to Section 7(l), the Company shall have furnished to the Agent such appropriate further information, certificates and documents as the Agent may reasonably request. All such opinions, certificates, letters and other documents will be in compliance with the provisions hereof. The Company will furnish the Agent with such conformed copies of such opinions, certificates, letters and other documents as the Agent shall reasonably request.

#[[Organization A:Organization]] shall provide all Raw Materials for use at the Property to make the Commercial Product. [[Organization A:Organization]] shall be the owner of the Raw Materials, all intermediate materials, and the Commercial Product made therefrom.

Damaged Materials. For Authenticity Tags damaged irreparably during the ordinary course of Company’s business, Company will:

Delivery. The Product Manufactured hereunder shall be delivered to Client or its designee ​ (INCOTERMS 2010), unless otherwise agreed to in the applicable PSA. The title to Product hereunder shall be transferred from SBL to Client when the Product is delivered consistent with ​. The Parties further agree as follows:

Delivery. No Shares shall be delivered pursuant to the exercise of an Option until the exercise price therefor has been fully paid and applicable taxes have been withheld, to the extent necessary.

Delivery. The Drug Substance Doses will be delivered by, or on behalf of, Arcturus, [* * *]. With respect to any amounts paid by Arcturus that are the responsibility of Vinbiocare under this Section 3.2, Vinbiocare shall reimburse such amounts to Arcturus within [* * *] days of invoice therefor. Promptly upon receipt, Vinbiocare shall inspect and review all applicable documentation and packaging. Risk of loss of or damage to the Drug Substance Doses shall pass to Vinbiocare upon loading with the carrier at the Place of Shipment.

Delivery. Catalent shall deliver Product Ex Works (Incoterms 2020) at the Facility promptly following Catalent’s release of Product, provided that Catalent will bear all risk of loss of such Product until it is loaded onto Client’s carrier, subject to Article 14. Catalent shall segregate and store all Product until it is loaded onto Client’s carrier. To the extent not already held by Client, title to Product shall transfer to Client upon Catalent’s tender of delivery. If Catalent provides storage services, title to such items shall pass to Client upon transfer to storage. Client shall qualify one or more carriers to ship Product and then designate the priority of such qualified carriers to Catalent. In the event Catalent arranges shipping or performs similar loading and/or logistics services for Client at Client’s written request, such services are performed by Catalent as a convenience to Client only and do not alter the above and Catalent will use Client’s carrier unless Client otherwise agrees in writing. Catalent shall not be responsible for Product in transit after it is loaded onto Client’s carrier, including any cost of insurance or other transport fees for Product, or any risks associated with transit or customs delays, storage and handling.
