Counterparts; Facsimile/Email. This Amendment may be executed in any number of counterparts, each of which when so executed and delivered shall be deemed an original and it shall not be necessary in making proof of this Amendment to produce or account for more than one such counterpart. Delivery of an executed counterpart of this Amendment by telecopy or electronic mail by any party hereto shall be effective as such party’s original executed counterpart.

Delivery of an executed counterpart of a signature page of this Amendment by facsimile, email or other electronic imaging shall be effective as delivery of a manually executed counterpart of this Agreement.

Counterparts, Facsimiles & Email Transmissions. This Agreement and all documents relating hereto may be executed in two or more counterparts, each of which together shall be deemed an original, but all of which together shall constitute one and the same instrument. In the event that any signature is delivered by facsimile transmission or by e-mail delivery of a “pdf” or similar format data file, such signature shall create a valid and binding obligation of the party executing (or on whose behalf such CEO Severance signature is executed) with the same force and effect as if such facsimile or signature page were an original thereof.

Delivery by Electronic Transmission. This Agreement and any signed agreement or instrument entered into in connection with this Agreement or contemplated hereby, and any amendments hereto or thereto, to the extent signed and delivered by means of an electronic transmission, including by a facsimile machine, .PDF or via email, shall be treated in all manner and respects as an original agreement or instrument and shall be considered to have the same binding legal effect as if it were the original signed version thereof delivered in person. At the request of any party hereto or to any such agreement or instrument, each other party hereto or thereto shall re-execute original forms thereof and deliver them to all other parties. No party hereto or to any such agreement or instrument shall raise the use of electronic transmission by a facsimile machine, .PDF or via email to deliver a signature or the fact that any signature or agreement or instrument was transmitted or communicated through such electronic transmission as a defense to the formation of a contract and each such party forever waives any such defense.

Delivery by Party’s Counsel. The Parties agree that the attorney for a Party shall have the authority to deliver Notices on such Party’s behalf to the other Parties hereto.

Notices given by personal delivery will be deemed given on the date of delivery. Notices given by email will be deemed given when sent unless the sending Party is notified that the email was not received or the email or address is invalid. Notices given by facsimile will be deemed given as stated on the sender’s fax receipt. Notices given by certified or registered mail will be deemed given on the date of delivery as established by U.S. Post Office return receipt.

All notices, requests, demands or other communications provided for hereunder shall be in writing. Notices may be given by personal delivery, by overnight courier, by email, or by certified or registered United Sates mail, return receipt requested. Except as otherwise expressly provided herein, notice shall be deemed to have been given # if by personal delivery, on the date of delivery; # if by overnight courier, on the date of delivery by a reputable commercial overnight courier; # if by email, on the date that the email is received by the recipient thereof; and # if by certified or registered United States Mail, on the date of delivery.
