2.4Requirements. Purchaser shall purchase from Supplier one hundred percent (100%) of Purchaser’s requirements of Supply Deliverables, and Purchaser shall not manufacture itself, or obtain from any Affiliate or Third Party, any Supply Deliverables. The foregoing provision shall not be applicable to any rejected Supply Deliverables or Defective Product as provided for herein.

Deliverables at Triggering Event Dates; Certificates. The Company agrees that on or prior to the date of the first Issuance Instruction from the Selling Stockholder and during the term of this Agreement after the date of this Agreement, upon:

Allegation of Failure to Complete Deliverables. ALY shall have the entire Term to complete the deliverables provided for in Paragraph 2.1, which may be extended by Force Majeure. If ALY has tendered all of the common shares in association with the performance deliverables described in [Subparagraphs 2.1.1 through 2.1.4], then IIM must have rejected or re-tendered, as provided for in Paragraph 2.2, at least one block of shares in order to preserve a claim of default and its Contingent Right of Reverter.

designated purpose and scope of Secondment, including duties, responsibilities, and deliverables;

Any and all [[Organization C:Organization]] Document Deliverables required hereunder to be delivered to the Document Custodian shall be delivered to the Document Custodian pursuant to the terms and conditions of this Agreement. Without limiting the foregoing, any and all [[Organization C:Organization]] Document Deliverables received by [[Organization B:Organization]] at any time (and any and all [[Organization C:Organization]] Document Deliverables that are or are deemed to be in or under the custody, possession or control of [[Organization B:Organization]] at any time) shall be held in trust by [[Organization B:Organization]] as the property and for the benefit of [[Organization C:Organization]]. In such event, [[Organization B:Organization]] shall, and [[Organization B:Organization]] has a fiduciary duty to [[Organization C:Organization]], # to hold in trust for [[Organization C:Organization]], and as the property and for the benefit of [[Organization C:Organization]], the [[Organization C:Organization]] Document Deliverables and (ii) (A) to immediately turn over and deliver to the Document Custodian each [[Organization C:Organization]] Document Deliverable no later than one (1) Business Day after receipt thereof (except that [[Organization B:Organization]] may deliver the applicable [[Organization C:Organization]] Document Deliverables to the Document Custodian by such later time, if any, permitted by the express terms of this Agreement) and # not to release any [[Organization C:Organization]] Document Deliverable to any Person (other than the Document Custodian). Nothing contained in this Section authorizes or permits the delivery to [[Organization B:Organization]] or any other Person (other than the Document Custodian) of any [[Organization C:Organization]] Document Deliverables which are required under this Agreement to be delivered directly to the Document Custodian.

5.1Price. Purchaser shall pay Supplier for Supply Deliverables according to the pricing specified in Exhibit B, attached hereto and incorporated herein by reference.
