Without limiting the requirements set forth in Subsection # of this Section, [[Organization B:Organization]] acknowledges and agrees that each and every [[Organization C:Organization]] Document Deliverable for any Participated Mortgage Loan which is at any time in the custody, possession or control of [[Organization B:Organization]] after [[Organization C:Organization]]’s purchase of a Participation Interest in such Participated Mortgage Loan shall be held and delivered to the Document Custodian pursuant to the terms and conditions of Section 5.11 of the Warehouse Agreement. Nothing contained in this Addendum authorizes or permits the delivery to [[Organization B:Organization]] or any other Person (other than the Document Custodian) of any of the [[Organization C:Organization]] Document Deliverables which are required to be delivered directly to the Document Custodian pursuant to the provisions of this Addendum.

#[[Organization C:Organization]] Document Deliverables Held By [[Organization B:Organization]]. Without limiting the requirements set forth in Section 3.2, [[Organization B:Organization]] acknowledges and agrees that any and all [[Organization C:Organization]] Document Deliverables relating to any Participated Mortgage Loan which are at any time in the custody, possession or control of [[Organization B:Organization]] after [[Organization C:Organization]]’s purchase of a Participation Interest in such Participated Mortgage Loan shall be held and delivered to the Document Custodian pursuant to the terms and conditions of Section 5.11. Nothing contained in this Article authorizes or permits the delivery to [[Organization B:Organization]] or any other Person (other than the Document Custodian) of any of the [[Organization C:Organization]] Document Deliverables which [[Organization B:Organization]] is required hereunder to cause to be delivered directly to the Document Custodian.

“[[Organization C:Organization]] Document Deliverables” shall mean, with respect to any Participated Mortgage Loan, # the original of the fully executed Mortgage Note for such Participated Mortgage Loan, together with the Required Endorsements related thereto (including, without limitation, each original executed allonge required by [[Organization C:Organization]] in connection therewith) and # any other agreements, files, records and other documents related to such Participated Mortgage Loan which are required to be delivered to [[Organization C:Organization]] in connection with the purchase of the Participation Interest in such Participated Mortgage Loan pursuant to the Warehouse Program Guide in effect as of the related Purchase Date.

#[[Organization B:Organization]] shall cause the [[Organization C:Organization]] Document Deliverables for each Participated Mortgage Loan to be: # delivered directly to [[Organization B:Organization]] (and, in the event that the applicable Funding Recipient for such Participated Mortgage Loan is or is required hereunder to be an Escrow Agent, such [[Organization C:Organization]] Document Deliverables shall be delivered directly to [[Organization B:Organization]] from escrow by the Escrow Agent for such Participated Mortgage Loan); and # thereafter, delivered directly to the Document Custodian by [[Organization B:Organization]] within five (5) Business Days after the Purchase Date for such Participated Mortgage Loan, unless otherwise expressly provided by [[Organization C:Organization]] in writing to [[Organization B:Organization]] with respect to such Participated Mortgage Loan (it being understood that any such writing from [[Organization C:Organization]] shall only apply to the specific Participated Mortgage Loan referenced therein). [[Organization B:Organization]] acknowledges and agrees that the foregoing arrangement (which allows for [[Organization B:Organization]], subject to Subsection # of this Section, to directly deliver to the Document Custodian the [[Organization C:Organization]] Document Deliverables within five (5) Business Days after the Purchase Date for the related Participated Mortgage Loan) is being made as an accommodation to [[Organization B:Organization]] and that [[Organization C:Organization]] may, in its sole discretion, by providing written notice to [[Organization B:Organization]]: # terminate [[Organization B:Organization]]’s authorization to deliver directly to the Document Custodian any or all of the [[Organization C:Organization]] Document Deliverables; and # require that within # two Business Days after the Purchase Date for any Participated Mortgage Loan, any or all [[Organization C:Organization]] Document Deliverables shall be delivered directly to the Document Custodian (and, in the event that the applicable Funding Recipient for such Participated Mortgage Loan is or is required hereunder to be an Escrow Agent, such [[Organization C:Organization]] Document Deliverables shall be delivered directly to the Document Custodian from escrow by the Escrow Agent for such Participated Mortgage Loan).
