Notwithstanding anything to the contrary contained in [Section 1.04(a)] or in the definition of “Capital Lease Obligations,” in the event of an accounting change requiring all leases to be capitalized, only those leases (assuming for purposes hereof that such leases were in existence on the date hereof) that would constitute capital leases in conformity with GAAP on the date hereof shall be considered capital leases, and all calculations and deliverables under this Agreement or any other Loan Document shall be made or delivered, as applicable, in accordance therewith.

Notwithstanding anything to the contrary contained in [Section 1.04(a)]above or in the definition of “CapitalCapital Lease Obligations,”Obligations or Capital Expenditures, in the event of an accountinga change under GAAP (or the application thereof) requiring allany leases to be capitalized,capitalized that are not required to be capitalized as of the Closing Date, only those leases that would result or would have resulted in Capital Lease Obligations or Capital Expenditures on the Closing Date (assuming for purposes hereof that such leasesthey were in existence on the date hereof) that would constitute capital leases in conformity with GAAP on the date hereof shallClosing Date) will be considered capital leases,leases and all calculations and deliverables under this Agreement or any other Loan Document shallwill be made or delivered, as applicable, in accordance therewith.

Notwithstanding anything to the contrary contained in [Section 1.04(a)] or in the definition of “Capital Lease Obligations,” in the event of an accounting change requiringherein and for all leases to be capitalized,purposes hereunder only those leases (assuming for purposes hereof that such leases were in existence on the date hereof)January 1, 2015) that would constitutehave constituted capital leases or financing leases in conformity with GAAP on the date hereofJanuary 1, 2015, shall be considered capital leases,leases or financing leases for all purposes hereunder, and all calculations and deliverables under this Agreement or any other Loan Document shall be made or delivered, as applicable, in accordance therewith.
