Delegation by Committee. Unless prohibited by applicable law or the applicable rules of a stock exchange, the Committee may allocate all or some of its responsibilities and powers to any one or more of its members. The Committee also may delegate some or all of it administrative duties and powers to any employee or officer of the Company or its Affiliates. The Committee hereby delegates to the Company’s Corporate Secretary and the Company’s executive officers the authority to document any and all Awards made by the Committee under the Plan by execution of the appropriate Award Agreements. The Committee may revoke any such allocation or delegation at any time.
Delegation to Committee. The Board may delegate some or all of the administration of the Plan to a Committee or Committees. If administration of the Plan is delegated to a Committee, the Committee will have, in connection with the administration of the Plan, the powers theretofore possessed by the Board that have been delegated to the Committee, including the power to delegate to a subcommittee of the Committee any of the administrative powers the Committee is authorized to exercise (and references in this Plan to the Board will thereafter be to the Committee or subcommittee). Any delegation of administrative powers will be reflected in resolutions, not inconsistent with the provisions of the Plan, adopted from time to time by the Board or Committee (as applicable). The Board may retain the authority to concurrently administer the Plan with the Committee and may, at any time, revest in the Board some or all of the powers previously delegated.
Delegation by Committee. The Committee, in its sole discretion and on such terms and conditions as it may provide, may delegate all or part of its authority and powers under the Plan to one or more directors and/or officers of the Company.
Delegation by Committee. To the full extent permitted by law and the rules of any exchange on which the shares of Stock are traded, the Committee may, at any time and from time to time:
Delegation to Committee. The Board may delegate the administration of the Plan to a Committee or Committees composed of not less than two members of the Board, each of whom shall be # a “non-employee director” for purposes of Exchange Act Section 16 and Rule 16b-3 thereunder, # an “outside director” for purposes of [Section 162(m)] and the regulations promulgated under the Code, and each of whom shall be, subject to any applicable transitional rules for newly public issuers, “independent” within the meaning of the listing standards of any applicable stock exchange or national market system, and the term “Committee” shall apply to any persons to whom such authority has been delegated; provided that a “required majority,” as defined in [Section 57(o)] of the 1940 Act, must approve each issuance of Awards and Dividend Equivalent Rights in accordance with [Section 61(a)(4)(A)(iv)] of the 1940 Act. If administration is delegated to a Committee, the Committee shall have, in connection with the administration of the Plan, the powers theretofore possessed by the Board, including the power to delegate to a subcommittee any of the administrative powers the Committee is authorized to exercise (and references in this Plan to the Board, other than the Board reference at the end of this sentence and the Board references in the last sentence of this [subsection (C)], shall thereafter be to the Committee or subcommittee), subject, however, to such resolutions, not inconsistent with the provisions of the Plan, as may be adopted from time to time by the Board. The Board may abolish the Committee at any time and revest in the Board the administration of the Plan, unless such actions are prohibited by the condition of exemptive relief obtained from the Commission.
Delegation. Assignor Lender hereby irrevocably assigns and delegates to Assignee Lender of its Commitments and its other duties and obligations as a Lender under the Related Documents equivalent to [100%/] of Assignor Lender’s Commitment (such percentage representing a commitment of ).
Delegation. To the extent necessary or appropriate, the Committee may delegate any of its duties or responsibilities under the Plan as they pertain to a Participating Subsidiary to such Participating Subsidiary. The Committee (or any Participating Subsidiary with the consent of the Committee) may appoint or engage any person or persons as a third party administrator to perform ministerial functions pertaining to the issuance, accounting, recordkeeping, forfeiture, exercise, communication, transfer, or any other functions or activities necessary or appropriate to administer and operate this Plan.
Delegation. As reflected in the Delegation of Authority attached hereto as Exhibit A, Evoke has delegated to Eversana the authority to submit and, if required, to certify price reports submitted to CMS and the Department of Veterans Affairs and to satisfy any additional State reporting requirements (current and future) after Evoke has reviewed and approved the price report and authorized Eversana to submit that report.
Delegation. The ordinary day-to-day administration of the Plan may be delegated by the chief executive officer of RLI to an individual or a committee. Such individual or committee shall have the authority to delegate or redelegate to one or more persons, jointly or severally, such functions assigned to such individual or committee as such individual or committee may from time to time deem advisable.

If at any time no Compensation Committee shall be in office or if the Board shall otherwise determine, the functions of the Administrator specified in the Plan shall be exercised by the Board or by such other Committee of the Board to which such authority is assigned or delegated by resolution of the Board; provided any such other Committee that shall be charged with the responsibility of exercising the functions of the Administrator hereunder in the absence of the Compensation Committee and shall be comprised of not less than two individuals who shall meet the requirements as set forth in the definition of the Compensation Committee in Article XI below. Notwithstanding the provisions hereof and to the extent Applicable Laws permit, the Board may delegate any or all of its powers under the Plan to one or more Committees and the Board may abolish any Committee or re-vest in itself any previously delegated authority at any time.
