Delay in Requests. Failure or delay on the part of any Lender or any Issuing Bank to demand compensation pursuant to this Section shall not constitute a waiver of such Lenders or such Issuing Banks right to demand such compensation, provided that the Borrower shall not be required to compensate a Lender or an Issuing Bank pursuant to this Section for any increased costs incurred or reductions suffered more than 120 days prior to the date that such Lender or such Issuing Bank, as the case may be, notifies the Borrower in writing of the Change in Law giving rise to such increased costs or reductions and of such Lenders or such Issuing Banks intention to claim compensation therefor (except that, if the Change in Law giving rise to such increased costs or reductions is retroactive, then the 120-day period referred to above shall be extended to include the period of retroactive effect thereof).
Delay in Requests. Delay on the part of the [[Organization B:Organization]] to demand compensation pursuant to Section 3.06, [Section 3.07] or Section 3.09, as applicable, shall not constitute a waiver of the [[Organization B:Organization]]’s right to demand such compensation; provided that the [[Organization A:Organization]] shall not be required to compensate the [[Organization B:Organization]] for any increased costs incurred or reductions in returns suffered more than ninety (90) days prior to the date the [[Organization B:Organization]] notifies the [[Organization A:Organization]] of the Change in Law giving rise to such increased costs or reductions in return, and of the [[Organization B:Organization]]’s intention to claim compensation therefor (except that, if the Change in Law giving rise to such increased costs or reductions is retroactive, then the ninety (90) day period referred to above shall be extended to include the period of retroactive effect thereof).

Delay of Distributions. The Plan Administrator in its sole discretion may exercise discretion on behalf of the Company to delay the distribution of any payment under this Plan to the extent allowed under Code section 409A, including, but not limited to, as necessary to maximize the Company’s tax deductions as allowed pursuant to Code section 162(m) or to avoid violation of federal securities or other applicable law.
[Section 409A] Delay. As contemplated by Paragraph 25 of the PD Employment Agreement, to the extent that any payment or benefit is delayed pursuant to the [Section 409A] Amendment, the accrual of interest on such delayed payments during the period of such delay shall be at a rate equal to Viacoms highest borrowing rate in effect at the Termination Date.
Waiver and Delay. No waiver or delay in enforcing the terms of this Agreement shall be construed as a waiver of any subsequent breach. No action taken by the Indemnified Party shall constitute a waiver of his rights under this Agreement.
Payments subject to the Delay Period shall be paid to the Executive without interest for such delay in payment.
There has been no delay by the Company in the payment of any material obligation due for payment.
Payment. Payment shall be made in lawful tender of the United States.
