Delaware LLC Division. For all purposes under the Loan Documents, in connection with any division or plan of division under Delaware law (or any comparable event under a different jurisdiction’s laws): # if any asset, obligation or liability of any Person becomes the asset, right, obligation or liability of a different Person, then it shall be deemed to have been transferred from the original Person to the subsequent Person, and # if any new Person comes into existence, such new Person shall be deemed to have been organized on the first date of its existence by the holders of its equity interests at such time.

Delaware Rapid Arbitration. The Parties agree that any dispute or controversy (whether in contract, tort or statute) arising out of, relating to, or in connection with this Agreement or the negotiation, execution or performance of this agreement or the transactions contemplated hereby (a “Dispute”) shall be arbitrated pursuant [[Organization B:Organization]] Delaware Rapid Arbitration Act, 10 Del. C § 5801, et seq. (the “DRAA”). The Parties agree to take all steps necessary or advisable to submit any Dispute that cannot be resolved by the Parties for arbitration under the DRAA (the “Arbitration”) in accordance with this Section 12.3, and each Party represents and warrants that it is not a “consumer” as such term is defined in 6 Del. C. § 2731. By executing this Agreement, # each Party waives, and acknowledges and agrees that it shall be deemed to have waived, any objection [[Organization B:Organization]] application of the procedures set forth in the DRAA, # consents [[Organization B:Organization]] procedures set forth in the DRAA, and # acknowledges and agrees that it has chosen freely to waive the matters set forth in subsections [(b) and (c) of Section 5803] of the DRAA. IN CONNECTION THEREWITH, EACH PARTY AGREES THAT IT WILL RAISE NO OBJECTION [[Organization B:Organization]] SUBMISSION OF THE DISPUTE TO ARBITRATION IN ACCORDANCE WITH THIS Section 12.3 AND UNDERSTANDS THAT IT WAIVES ANY RIGHT TO LAY CLAIM TO JURISDICTION IN ANY VENUE AND ANY AND ALL RIGHTS TO HAVE THE DISPUTE DECIDED BY A JURY.

LLC Interests. CHP Yuma AZ MOB Member, LLC owns the LLC Interests. Other than consent of the joint venture partner to the Yuma Loan Assumption Documents, if applicable, no authorization, consent or approval of any member or partner in the Yuma Joint Venture other than such Seller is required in connection with the sale of the LLC Interests to the Buyer. The LLC Interests being sold pursuant to this Agreement have been validly issued and are fully paid, owned of record by CHP Yuma AZ MOB Member, LLC free and clear of any Liens, and free and clear of, and were not issued in violation of, any conversion rights, preemptive rights, rights of first refusal, redemption rights, repurchase rights or other similar rights or restrictions on transfer, except as set forth in that certain Limited Liability Company Agreement, dated as of December 19, 2014, of CHP Cypress Partners I, LLC (the “LLC Joint Venture Agreement”). There are no outstanding obligations, options, warrants, convertible securities or other rights, agreements, arrangements or commitments of any kind relating to the LLC Interests, other than pursuant to the LLC Joint Venture Agreement.

LLC Agreement. The representations and warranties set forth in Section 4.02 of the LLC Agreement are true and correct in all respects with respect to such Committer, and are deemed incorporated by reference herein as if set forth herein.
