Conflicts. Other than as specifically set forth in this Amendment, or the context otherwise requires, all of the other terms and conditions of the Agreement shall continue in full force and effect. To the extent of a conflict between the terms and conditions set forth in the Agreement and this Amendment, the terms hereof shall control.

Except as specifically set forth in this Amendment, or the context otherwise requires,above, all of the other terms and conditions of the Agreement shall continuewill remain in full force and effect. ToOn and after the extentAmendment Effective Date, any reference to the Agreement shall mean the Agreement as amended by this Amendment. In the event of a conflict between the terms and conditions set forth in the Agreement andof this Amendment,Amendment and the terms hereof shall control.of the Agreement, the terms of this Amendment will govern.

Effect of Amendment. Except as specifically set forth inamended by this Amendment, or the context otherwise requires, all of the other terms and conditions of the Agreement shall continueremain in full force and effect. ToIn the extentevent of a conflict between this Amendment and the Agreement, this Amendment shall control. Capitalized terms and conditions set forthnot defined herein have the meanings specified in the Agreement and this Amendment, the terms hereof shall control.Agreement.

Miscellaneous. Other than as specificallyexpressly set forth in this Amendment, orherein, the context otherwise requires, all of the other termsterms, conditions and conditionsprovisions of the Agreement shall continueremain in full force and effect. ToAll references to the extent of a conflict betweenAgreement shall hereafter mean the Agreement as amended by this Amendment. This Amendment shall be governed by, and otherwise construed in accordance with, the terms and conditionsof the Agreement, as though the other provisions of this Amendment were set forth in the Agreement and this Amendment, the terms hereof shall control.Agreement.

Except as otherwise specifically set forth in this Amendment, or the context otherwise requires, all of the other terms and conditions of the Agreement shall remain unchanged and continue in full force and effect. To the extent of a conflict between the terms and conditions set forth in the Agreement and this Amendment, the terms hereof shall control.

Effect of Amendment. Except as specifically set forth in this Amendment, oramended hereby, the context otherwise requires,Agreement, and all of the other terms and conditions of the Agreement shall continuecontained therein, remains in full force and effect. ToIn the extentcase of aany conflict between the terms of this Amendment and conditions set forth in the Agreement andAgreement, the terms of this Amendment shall control. The Agreement, as amended by this Amendment, constitutes the terms hereof shall control.entire understanding of the parties with respect to the subject matter hereof.
