Definition of Confidential Information. “Confidential Information” shall mean any information, whether written or oral, including but not limited to data, techniques, protocols or results, or business, financial, commercial or technical information, disclosed or made available by one Party (each a “Discloser” as applicable) to the other Party (each a “Recipient” as applicable) in connection with the terms of that certain Exclusive License Agreement dated April ​, 2018, as the same may be amended or restated from time to time (the “License Agreement”). Notwithstanding the foregoing, Company Confidential Information shall not include any such information which I can establish # was publicly known or made generally available prior to the time of disclosure by the Company to me; # becomes publicly known or made generally available after disclosure by the Company to me through no wrongful action or omission by me; or # is in my rightful possession, without confidentiality obligations, at the time of disclosure by the Company as shown by my then-contemporaneous written records. I understand that nothing in this Agreement is intended to limit employees’ rights to discuss the terms, wages, and working conditions of their employment, as protected by applicable law or in any way affects my communicating with any governmental agency or entity, or communicating with any official or staff person of a governmental agency or entity, concerning matters relevant to the governmental agency or entity.
