Affiliate. An Affiliate is # any member of a “controlled group of corporations” (within the meaning of Section 414(b) of the Code as modified by Section 415(h) of the Code) that includes Insight Enterprises, Inc. as a member of the group; and # any member of a group of trades or businesses under common control (within the meaning of Section 414(c) of the Code as modified by Section 415(h) of the Code) that includes Insight Enterprises, Inc. as a member of the group.

Affiliate. A corporation or other entity that, directly or through one or more intermediaries, controls, is controlled by or is under common control with, the Company. For purposes of an Incentive Stock Option, “Affiliate,” refers to a “parent corporation” or “subsidiary corporation” within the meaning of Treasury Regulations under Section 424 of the Code.

Affiliate. For the purposes of this Agreement, the term “Affiliate” or “Affiliates” means # Texas Roadhouse, Inc. and each corporation, limited liability company, partnership, or other entity that directly or indirectly, controls Texas Roadhouse, Inc., # is controlled, directly or indirectly, by Texas Roadhouse, Inc., or # is under common control, directly or indirectly, with Texas Roadhouse, Inc., as well as any entity that owns, operates, manages, licenses or franchises a Texas Roadhouse, Bubba’s 33, or Jaggers (or any future Texas Roadhouse or Affiliate) restaurant concept.

Affiliate. For purposes of this Agreement, “Affiliate” of the Company means any corporation, partnership, limited liability company, joint venture, trust or other enterprise in respect of which Indemnitee is or was or will be serving as a director, officer, trustee, manager, member, partner, employee, agent, attorney, consultant, member of the

Affiliate. The meaning assigned to the term “affiliate” under Rule 12b-2 of the Act.

Affiliate. “Affiliate” means the Company and any other parent or subsidiary corporation of the Company, as such terms are defined in [Section 424(e) and (1)])] of the Code.

"Control" means the direct or indirect ownership of more than fifty percent (50%) of the voting securities of an entity or possession of the right to vote more than fifty percent (50%) of the voting interest in the ordinary direction of the entity's affairs. Landlord shall not be entitled to terminate the Lease due to a Permitted Transfer.

Affiliate. For purposes of this Agreement, “Affiliate” means, with respect to any Person, any entity, directly or indirectly, controlled by, controlling or under common control with such Person.

Affiliate. “Affiliate” means # any entity in which the Company, directly or indirectly, owns 10% or more of the combined voting power, as determined by the Board, # any “parent corporation” of the Company (as defined in Section 424(e) of the Code), # any “subsidiary corporation” of any such parent corporation (as defined in Section 424(f) of the Code) of the Company and # any trades or businesses, whether or not incorporated which are members of a controlled group or are under common control (as defined in [Sections 414(b) or (c)])] of the Code) with the Company.
